sharing some months experience with you

in these videos letters of intent are

short documents that outline the basic
[43]
terms of a deal between two parties
[45]
there used quite commonly in commercial
[48]
real estate and land transactions in
[51]
this video I'm going to offer three keys
[54]
to success for letters of intent the
[58]
purpose of an letter of intent also
[60]
known as an LOI is to boil down the
[63]
basic deal terms and these deal terms
[67]
are primarily business in nature not so
[69]
much legal in nature legal terms are
[72]
going to be dealt with in the
[73]
substantive document that will follow
[76]
the letter of intent
[77]
examples of substantive documents
[80]
include a lease or purchase and sale
[82]
agreement or something like that if the
[86]
business term is important to you make
[88]
sure it gets in the letter of intent
[90]
don't rely on some sort of a sidebar
[93]
conversation or an understanding of how
[96]
the document will be interpreted if it's
[100]
important you get it in the LOI some
[104]
examples of what these important
[106]
business terms are include the following
[108]
the price of course or the rent rate or
[112]
the term how long will this lease be
[117]
other examples are going to be specific
[119]
to your particular business for instance
[122]
if I'm if you want to buy land do you
[125]
have the right to the minerals on the
[126]
property or if you are going into a
[129]
lease space as a commercial tenant do
[132]
you have the exclusive
[134]
use of your particular business for
[136]
example do you alright are you allowed
[138]
to be the only restaurant in that strip
[140]
center or if you are in a business
[144]
situation and you have a lot of
[145]
customers that come to your location the
[149]
parking is going to be very important to
[151]
you you want to make sure that you have
[152]
enough parking in the center for your
[154]
customers as well as your employees
[156]
these are just a handful of examples but
[159]
hopefully they'll be get you thinking
[161]
about what kind of business terms are
[164]
going to be important to you and what
[166]
should be included in the LOI well
[170]
hopefully that first key to a successful
[172]
LOI
[173]
was pretty obvious now we're going to
[175]
talk about the second key to success in
[177]
an LOI and that is to understand that
[180]
most letters of intent are non-binding
[183]
and that you should keep them that way
[185]
letters of intent often include language
[188]
that they are non-binding in other words
[190]
that neither party is going to be bound
[192]
to the document and that either party
[194]
can walk away from the document no harm
[196]
no foul in theory this is beneficial to
[201]
both parties because both parties have
[203]
the ability to move forward together and
[206]
trying to get a deal done but without
[208]
the legal obligations or the legal risk
[210]
that could come about if they are found
[213]
to have a binding contract however what
[218]
could complicate things is if the
[220]
parties sign the letter of intent then
[223]
the court will would have to decide
[225]
whether the signatures mean anything or
[228]
not or whether the non-binding language
[231]
is going to control I had a law
[234]
professor once who had us read a case
[236]
and one of the lines from the case stuck
[238]
out with me and I remember that this
[240]
many years later and that line was
[242]
signatures aren't ornaments
[246]
it will likely be much easier to walk
[248]
away from a non-binding letter of intent
[251]
that isn't a sign than it is to walk
[253]
away from a non-binding letter of intent
[255]
that is signed additionally if the
[259]
letter of intent contains the deal terms
[261]
that are important to both parties which
[263]
is what I recommended in my first key to
[265]
success a few minutes ago then it is
[267]
likely that the parties are going to
[269]
continue to negotiate the deal and
[271]
eventually arrive at substantive
[273]
documents that both will feel
[274]
comfortable in signing at the time of
[276]
closing and that brings me to my third
[280]
point and the third key to success in
[283]
LOI is is to make sure that the deal
[285]
terms that are part of the LOI are
[287]
included in its substantive documents I
[290]
can't tell you how many times I've
[292]
reviewed first drafts of contracts or
[294]
purchase and sale agreements or
[297]
agreements to lease in which the terms
[300]
of the letter of intent weren't in those
[303]
documents the letter of intent is a
[306]
great tool for boiling down the key
[308]
business terms into one document so make
[311]
sure you go the extra step and make sure
[313]
that those key business terms then are
[315]
included in the Docs that you will be
[317]
signing and that will become the Docs
[318]
you live by for the transaction so to
[324]
sum up first of all make sure that the
[326]
deal terms that are important to you are
[328]
included in the letter of intent
[330]
secondly make sure that you don't screw
[332]
up the non-binding nature of a letter of
[335]
intent by signing it and number three
[337]
make sure that the substantive documents
[340]
that you will be signing contain the
[342]
deal terms that were important to you in
[344]
