Michael, there's also been some major聽 changes taking place in the finance industry聽聽

and those changes could have big impacts聽 on investments and dispute resolutions.聽聽

So tell us what's happening on that front. Sure, Sara. So this is something that's near聽聽

and dear to my heart. I work and I represent a lot聽 of investment fraud victims, regular people, main聽聽
[18]
street investors. And you're seeing a significant聽 shift that frankly, most people are not even聽聽
[23]
recognizing, most people are not talking about and聽 it's very subtle, but it's extremely significant.聽聽

And what's happening is the traditional model in聽 the financial services industry is, is brokers,聽聽
[35]
brokerage firms, but it's shifting away now to聽 registered investment advisors. And brokerage聽聽
[42]
firms they are, are, are regulated, they're聽 monitored by FINRA, the financial industry聽聽
[47]
regulatory authority. These RIAs are regulated聽 by the SEC and by state regulators and what's聽聽
[54]
happened is you've seen a huge boom where people聽 who were previously brokers are now becoming聽聽
[59]
registered investment advisors. They're leaving聽 the big firms they were a part of, and they're聽聽
[63]
going off on their own as a solo individual or聽 1, 2, 3 individuals with the firm and investors,聽聽

mainstream investors, don't understand the聽 difference of this. So you see a lot of very,聽聽
[76]
very small firms where the regulations are not聽 as consistent, where the compliance systems are聽聽

not as consistent and this is creating a number of聽 issues and problems for investors. You're actually聽聽
[87]
seeing, there's 14,000 registered investment聽 advisors. Today, there's only about 3,500 or less聽聽
[95]
brokerage firms. So the shift is significant聽 and there's a lot of reasons for it and a lot聽聽
[100]
of regulatory arbitrage that's happening. So we're hearing that there's something聽聽
[104]
like $110 trillion being managed by these聽 RIAs, is what we're calling them. Now,聽聽
[109]
what effect does this have on investors? Are聽 we talking about big business investors or are聽聽
[112]
we talking about mom and pop investing their聽 401ks, their retirement plans? Tell us that.聽

Sure. So you're, you're exactly right. And聽 there are some, sure, there's some institutional聽聽
[121]
investors, but it's 61 million clients, that聽 $110 trillion you talked about is 61 million聽聽
[128]
clients. The lion's share of those clients are聽 regular mom and pop main street investors. People聽聽
[135]
who are trusting an advisor to act in their best聽 interest. And that's the whole thing about this.聽聽
[140]
Registered investment advisors are supposed聽 to be fiduciaries, which is great, that's,聽聽
[145]
it to us, that's significant, fiduciary means聽 put the client's interests first. You have to聽聽
[151]
do what's best for the client. But the reality聽 is that fiduciary standard is not being enforced聽聽
[157]
and in fact, the regulations are extremely聽 inconsistent. There's not enough regulatory聽聽
[161]
examinations going on. You actually see examples聽 where customer complaints are at a five-year high,聽聽
[168]
but regulatory actions, disciplinary actions聽 are at a five-year low. Restitution is at a聽聽
[173]
five-year low. So what's happening is you see this聽 shift and it's creating all sorts of problems.聽

Arbitration is another issue where these clients聽 are being forced into arbitration and it's聽聽
[184]
incredibly inconsistent. There's mandatory聽 arbitration clause. In FINRA, there's one聽聽
[189]
forum. Instead now, you're getting divided into聽 numerous forums and there's different rules.聽聽

Some people create their own rules. There's a,聽 we saw recently with a case where somebody had聽聽
[199]
a Christian conciliation rules and it's not聽 a standardized forum. This makes it very,聽聽
[204]
very complicated and to make matters worse,聽 these firms, they're very small. It's not聽聽
[208]
a big brokerage firm that has thousands and聽 thousands of employees. So if something goes wrong聽聽
[214]
and clients suffer harm, these firms are not even聽 required to have insurance, Sara. So you and I,聽聽
[220]
in Florida, we have to have insurance聽 to drive our cars. But these registered聽聽
[224]
investment advisors who are managing trillions,聽 tens of trillions of dollars of retirees money,聽聽
[229]
if they don't, if they get sued, if聽 they do something wrong, if they make聽聽
[233]
faulty recommendations, and they don't have聽 to have insurance and they don't necessarily聽聽
[237]
even have to pay the award, which is a huge聽 issue. So these issues need to get addressed.聽
