we're going to focus in on two key real

estate concepts that really really

confuse students as they're studying for

their real estate exam

novation

and assignments we're going to discuss

them right now

hey everyone if we're meeting for the

first time my name is paul vachesky and

welcome to the real estate classroom

simple to help you pass your real estate

exam the first time all right so i want

to talk about two key concepts that
[32]
quite frankly really confuse the hell
[34]
out of students as they're studying they
[36]
are novation
[37]
and assignments both have to deal with
[40]
contracts so what i'm going to do is
[41]
we're going to cover the the the
[44]
definitions of each and then i'm gonna
[46]
give you an example maybe it'll clarify
[49]
the application part here so what is
[52]
novation
[54]
novation is substituting a new contract
[58]
for a previously agreed
[60]
to contract
[62]
an assignment
[64]
is where
[65]
one party assigns their rights to a
[68]
contract to someone else and there are a
[71]
couple of key points i have them on your
[73]
screen here assignments only transfer a
[76]
party's rights under the contract where
[79]
novation transfers both parties rights
[82]
to the contract and their
[84]
obligations and with novation
[88]
all parties have to agree
[91]
uh to the novation
[93]
all right so paul what does all that
[95]
mean well let me give you an example
[96]
let's say that uh you are a tenant and i
[100]
am the landlord and we sign a lease
[102]
agreement
[103]
now let's discuss assignment first
[106]
let's say you've lived in my apartment
[109]
six months of a one-year lease
[111]
and you decide that you want to move out
[114]
but you have a friend that wants to move
[118]
in and basically take over
[121]
uh your lease agreement so instead of
[124]
signing or having the new tenant your
[126]
friend sign a new lease agreement we
[129]
just transfer all the rights and
[131]
obligations from
[133]
you
[134]
to your friend and then your friend is
[137]
going to carry out the remaining terms
[139]
of your lease contract now
[141]
when that assignment
[143]
is signed
[144]
um
[147]
you're off the hook because the
[149]
the your friend who assigned your lease
[152]
agreement they take over all the
[154]
responsibilities and the benefits and
[156]
rights of that original lease contract
[159]
now

as i said in the key point assignments
[162]
only transfer one party's rights
[165]
and the other thing is as it's inferred
[168]
in point number two is with assignments
[172]
me as the landlord i don't have any
[174]
party to it unless my lease contract
[176]
specifically says that assignments or
[179]
subletting is strictly prohibited
[181]
without consent of the landlord you're
[184]
free to do it so if this our lease
[186]
agreement didn't have that prohibition
[188]
in in the lease contract you could go
[190]
ahead and assign
[192]
your rights and obligations in our
[195]
lease agreement to your friend and
[198]
there's nothing i can do about it right
[200]
one part of you assigning your rights
[202]
and obligations over to your friend and
[204]
then your friend is obligated upon
[207]
signing the assignment
[210]
to fulfill the terms that's what an
[212]
assignment is now let's talk about
[215]
novation
[216]
same scenario you and i have a lease
[218]
contract you're six months into a lease
[221]
and you're moving out and you have a
[222]
friend that wants to move in
[225]
so instead of doing an assignment of the
[227]
lease
[229]
me and your uh your
[232]
friend
[234]
remember we you and i we have a lease
[236]
contract in place totally enforceable
[241]
so what we're going to do is me and your
[243]
friend we're going to sign a new lease
[246]
agreement so there's going to be a new
[247]
contract a new lease contract that's
[250]
going to replace the old one between me
[252]
and you
[253]
now typically what happens is the the
[256]
terms aren't renegotiated it's just
[258]
going to be all the same terms that you
[260]
and i had in our lease agreement
[263]
those same terms and conditions are
[264]
going to be put into the new lease
[266]
contract with your friend
[269]
and me as the landlord your friend is
[271]
the new tenant we sign it
[273]
and that is novation we are substituting
[276]
a new contract from for a previously
[278]
agreed to contract there's also one
[281]
other function under novation
[284]
i gave you an example of your friend
[287]
that's going to take over your lease
[289]
let's say for example you and i have a
[291]
lease agreement
[292]
and it's a
[294]
it's a it's a one-year lease agreement
[296]
we're six months into it but we want to
[299]
change some terms
[300]
to that lease contract well remember we
[303]
have a currently enforceable lease
[305]
contract you and i can draft up a new
[308]
contract changing the terms
[311]
that is also considered novation so we
[314]
create a new contract and it's going to
[316]
substitute this old contract
[319]
and once the new contract is signed the
[321]
old contract becomes void
[323]
so that is the difference between
[325]
novation and assignment it can be very
[328]
confusing i know
[330]
