Mark: Step number two in starting a nonprofit聽
is to define your who. This is really important聽聽

because you're determining who your officers聽
are and what their responsibilities will be.聽聽

Who will be on your board of directors, and who聽
will be your other partners in this journey?

Mark: So I break down the question of defining聽
your who into those three groups. One,聽聽
[32]
your officers. Two, your board of directors. And聽
three, your other partners or other collaborators.

This is extremely important not only because you聽
need to know it in order to operate and to have聽聽
[47]
your nonprofit run smoothly. But also because聽
you'll be specifically asked about it when you聽聽
[52]
go to fill out your IRS Form 1023, which is the聽
big packet of stuff that you submit to the IRS聽聽
[58]
to actually be recognized as a 501(c)(3)聽
nonprofit. So you need this information,聽聽
[64]
not just to operate, but also to聽
be legally deemed a nonprofit.

OK, so first, your officers. These are the聽
people who will actually be running the day聽聽
[76]
to day of your organization. If you are watching聽
this video, it's very likely that you will be the聽聽
[81]
officer or an officer of your nonprofit. So this聽
includes things like the Executive Director. Or聽聽
[87]
if you have a Development Officer, you know,聽
some sort of Co-Directors, or a Vice Director,聽聽
[94]
however you want to do it. These are the people聽
who will actually be executing day to day.

If you are starting your聽
nonprofit with someone else,聽聽
[103]
it's important not only to come up聽
with what each of your titles will be,聽聽
[107]
but also what your responsibilities will聽
be. This really goes to more making sure聽聽
[112]
that your operation runs smoothly. So what are聽
the expectations of your relationship with each聽聽
[118]
other? Who will be in charge? Who will report聽
to whom? Who will be doing the day-to-day work聽聽

on fundraising, on managing staff, on managing聽
operations, on serving the mission as a whole?

It's incredibly important, at the beginning聽
of this collaborative relationship,聽聽
[136]
if you are starting this with somebody else,聽聽
[138]
that you go into it with a clear sense of聽
what each other's expectations are. What is聽聽
[144]
your expectation for your Co-Director or your聽
partner, or whatever else, and vice versa?

Next, you'll be talking about your Board of聽
Directors. So you need a Board of Directors, it's聽聽
[157]
part of the IRS Form 1023 to say who your Board of聽
Directors is. Who is on your Board of Directors?聽聽

If you are going to be a private foundation,聽
those people can be related by family relations聽聽
[174]
or by business relations. But if you are starting聽
a public charity, you need your Board members to聽聽
[179]
be independent, so a majority of your Board has聽
to be unrelated by, either, family or business聽聽
[185]
relations. The IRS Form 1023 will ask for the bios聽
of your Board and for their job responsibilities聽聽
[196]
in their non-Board life. So you'll need聽
to gather all of that information on them.

So who should be on your Board? Well, it's聽
important to have someone, to have a group聽聽
[206]
of people you trust. It's important聽
to have people who have maybe subject聽聽
[212]
matter expertise in your field. If you're聽
starting some sort of medical nonprofit,聽聽
[217]
maybe people with a medical background. If聽
you're starting something involving civil rights,聽聽
[222]
people who have experience聽
advocating in that field.

But it's also important to have people who聽
know about running a nonprofit, not just聽聽
[229]
the substantive area, but actually the day to聽
day of what it takes to run a nonprofit. And,聽聽
[235]
a lot of times, that means funding and聽
fundraising. So that's another thing聽聽
[240]
that Board members bring to the table is,聽
potentially, they donate on their own and聽聽
[244]
raise funds from their networks. So that's聽
a very important thing that Board members聽聽
[250]
bring to the table, and it's another thing you聽
should think about when assembling your Board.

I always recommend that a Board have an odd聽
number of people. In case there is a tie vote,聽聽
[260]
an odd number prevents a tie vote. So the minimum聽
you can have, the minimum I suggest you have聽聽
[267]
is three people. You have to designate one as聽
Chair of the Board, one as Secretary, and one as聽聽
[272]
Treasurer. You can have person wear multiple hats聽
but if you have three people, might as well assign聽聽
[279]
one duty to each. And, of course, you can have聽
more than three members of your Board as well.

And then the third group to think about in聽
defining your why is your other collaborators,聽聽
[292]
your other partners in this journey. So thinking聽
about vendors you will use. Thinking about other聽聽
[297]
nonprofits you might want to collaborate with聽
in planning events, or serving your mission聽聽
[302]
through programs, etc. Foundations who might be聽
funding sources for you or private donors who聽聽
[309]
might help fund your operations. And Denise will聽
talk about your funding sources in the next video.

So I suggest that you write all of this down.聽
It's really not enough to just kind of think,聽聽
[322]
"OK, here are my officers and I'll get three Board聽
of Directors, and here are the general types of聽聽
[327]
people I'll partner with as well, as outside聽
collaborators." I suggest you really engage in聽聽
[333]
the hard work of writing it down, defining those聽
relationships, defining those responsibilities,聽聽
[338]
and defining those expectations. And聽
you'll thank yourself later for doing it.
