talk to you for a minute about the

Articles of Incorporation if your
[9]
corporation or the articles of
[12]
organization or the certificate or
[14]
organization or whatever your state
[16]
calls this thing these are the papers
[18]
that you file to create the corporation
[21]
or to create the LLC you file them with
[23]
a state actually the corporations and
[27]
LLC's are creations of the state it's
[29]
your state that's giving you permission
[32]
to operate under these rules in order to
[36]
have your company give you a limited
[39]
liability for example and taxes
[41]
structures and all that stuff so you
[45]
have to have the proper Articles of
[48]
Incorporation and articles of
[50]
organization and you need to read them
[53]
and understand them now if you go to the
[56]
lawyer a lot of the lawyers will give
[58]
you four or five six pages of these
[60]
things the Articles of Incorporation no
[63]
no no no no the states require a very
[66]
minimal amount of information in order
[70]
to set up the corporation of the LLC in
[73]
the old days the states used to require
[76]
that you have a thousand or two thousand
[79]
or five thousand dollars in the bank
[80]
account of the company well that's you
[84]
that's not a requirement anywhere any
[86]
more that I'm aware of anyway so these
[90]
renewals and regulations associated with
[92]
the Articles of Incorporation or the
[94]
articles of organization have been
[95]
parried back a lot you will actually
[98]
file the Articles incorporation the
[101]
articles of organization on the state
[103]
website they're going to ask you a few
[105]
questions the name of the company the
[107]
address of the company and you have to
[110]
have a registered agent in the state so
[114]
they need the registered agents address
[116]
and phone number and all that stuff that
[118]
has to be a physical person within the
[120]
state that they could get ahold of that
[123]
the sheriff can come and give a lawsuit
[125]
to so you need a physical person if you
[128]
don't have anybody in the state where
[130]
you're incorporating or forming you
[131]
LLC there are lots of guys that will be
[134]
more than happy to take your money and
[136]
act as your registered agent so in that
[141]
list the registered agent you list the
[143]
home office you list this sort of stuff
[145]
don't give any more information to the
[148]
state than is required at a minimum
[151]
because that's public information
[153]
anybody can see what you filed in order
[156]
to create your corporation or your LLC
[160]
now you're going to have a rule book
[163]
that's going to be a lot longer than the
[165]
Articles of Incorporation or the
[167]
articles of organization and that rule
[170]
book is going to tell you how you're
[173]
going to operate the company a
[174]
corporation that's called bylaws in the
[177]
LLC it's called the operating agreement

we'll talk about those in another one of

these YouTube series but for now make

sure that you understand what each thing
[191]
that they're asking is and that you
[193]
supply the proper answers on the
[196]
Articles of Incorporation or the

articles of organization and make sure
[201]
you don't give them any more information
[202]
than is actually required there they're
[206]
going to often ask what's the nature of
[208]
the business and you're going to say
[211]
it's a retail business or it's a
[213]
consulting business or it's you can make
[216]
that pretty broad and you probably ought
[218]
to some attorneys say well just say any
[223]
lawful activity now that will come back
[226]
to bite you sometimes I've seen it
[227]
happen in a number of court cases state
[230]
that this is real estate investing
[232]
company state that its consulting
[237]
company or a chemistry laboratory or
[239]
whatever it is and that's usually in the
[241]
Articles of Incorporation or the
[243]
articles of organization as well so the
[247]
first step is understand what is
[250]
required by the state
[251]
give them the minimum amount up and then
[255]
you have to pay your fees of course and
[258]
you file your papers with this day
[259]
and that makes you a company in the
[262]
States eyes now that doesn't mean that
[265]
you're going to get the limited
[266]
liability it doesn't mean you're going
[267]
to get the tax structure you want it
[269]
doesn't mean anything it just means that
[271]
you now have a company with the state
[274]
and in one of my twenty-seven

formalities that I go through on

corporations and LLC's one of the first
[283]
ones is let's make sure we understand
[285]
what's in the Articles of Incorporation

or the articles of organization
