now let's go ahead and dive in by quickly聽 looking at what a llc is so loc stands for聽聽

and believe that a limited liability company is聽 the best entity type for you then you'll want聽聽

to go to your state's business division and gain聽 information about the specific process that you聽聽

need to follow usually this just involves going聽 to your secretary of state website following the聽聽

articles of organization or in some states called聽 certification of organization and then pay a聽聽

filing fee which usually ranges somewhere between聽 100 to 200 if you're doing it yourself along with聽聽

registering your business in your state you may聽 want to consider filing an operating agreement聽聽

for comparison the articles of organization聽 tell the state the new single member llc exists聽聽

confuse sole proprietorship with a single member聽 llc because they're kind of similar but the single聽聽

member llc usually wins that's because a single聽 member loc is a separate business entity from its聽聽

owner it is no longer attached to or identifies聽 with the owner for tax or liability purposes聽聽

one big benefit of a single member loc is that the聽 llc is recognized as a legitimate business due to聽聽

the popularity in the requirement of the llc being聽 included in the business name also when a single聽聽

member llc is formed within a state part of the聽 approval process is the business name registration聽聽

link this one as well however one special thing to聽 note regarding single member llcs is that they are聽聽

the most common type of disregarded entity which聽 basically means the irs can ignore it for business聽聽

tax purposes and instead collect taxes through聽 the business owner's personal income tax filing聽聽

okay so let's dig into that a little bit more and聽 take a look at how a single member llc is taxed聽聽

now because single member llcs can be classified聽 as a disregarded entity the responsibility for聽聽
[391]
paying income taxes are passed through to the聽 owner this way of tax and profits is known as聽聽

pass-through taxation which then refers to llcs as聽 pass-through entities the primary business taxes聽聽

that you're gonna pay are gonna be federal income聽 taxes and self-employment taxes now to report and聽聽

pay federal income taxes as a single member llc聽 business you will need to complete a schedule聽聽

c which is a profit or lost business form which聽 is attached to your personal federal tax returns聽聽

that you file with the irs now that schedule c聽 will report all your business transactions such聽聽

as your income your expenses your assets and your聽 profits that's why it's critical as a business聽聽

owner that you're keeping track of all your聽 transactions throughout the year in preparation聽聽

for tax season here's a quick example that will聽 make single member llc taxes very clear let's say聽聽

that mary is someone who owns a single-member loc聽 part-time and owns a homemade bakery business last聽聽

year she earned a total of forty thousand dollars聽 from the business and had expenses totaling ten聽聽

thousand dollars for supplies equipment and other聽 items we'll say that mary also earned 25 000 from聽聽

her part-time job as a consultant so mary will use聽 the schedule c to show her income and expenses on聽聽

her homemade bakery business mary will then attach聽 the schedule c to her personal tax return where聽聽

she will report and pay taxes on her combined聽 net income of fifty five thousand dollars which聽聽

is thirty thousand dollars from the bakery and聽 twenty five thousand dollars from her part-time聽聽

job okay now the last thing you need to know聽 about single-member llc taxes is that you must聽聽

pay taxes on all profits whether you distribute聽 them or not the irs will not distinguish聽聽

between whether an owner of a single member llc聽 leaves the profits in the business bank account聽聽

reinvests the profits in the business or decides聽 to distribute the money as payment to the owner聽聽

okay so to the irs none of that matters because聽 it's a disregarded entity the irs only cares about聽聽

how much profit the business made and then it will聽 tax those profits the irs likely does this because聽聽

it doesn't want single member loc owners to take聽 out different amounts of money out of the business聽聽

each year which could lead to manipulation聽 of taxes here's another example let's say聽聽

that joe sells car parts and he made a profit聽 of a hundred thousand dollars in 2020 after聽聽
[549]
expenses joe knows he needs to have at least forty聽 thousand dollars next year to buy more inventory聽聽

however even if he leaves the forty thousand聽 dollars in his company account for next year聽聽
[561]
for those related business expenses he will still聽 have to report and pay taxes on the full 100 000聽聽

self-employment taxes which is a tax that active聽 business owners will need to pay now the 2021聽聽

self-employment tax rate is 15.3 percent that聽 rate is the sum of a 12.4 tax for social security聽聽

and a 2.9 tax for medicare the self-employment聽 tax applies to the net earnings of your company聽聽

or your profits or your company and you may need聽 to pay self-employment taxes throughout the year聽聽

now generally 92.35 of your net earnings from聽 self-employment is subject to self-employment聽聽

tax so the irs has given us about a seven percent聽 to eight percent break on our profit once you've聽聽

determined how much your net earnings聽 from self-employment are subject to tax聽聽

then you can apply to 15.3 tax rate and that聽 should give you your taxes owed now for 2020聽聽

only the first 137 700 of earnings were subject to聽 social security portion of the self-employment tax聽聽

and in 2021 that amount rose to 142 800 all聽 right now the last thing i want to talk about聽聽

is for a sole owner of an llc you will want to聽 have an employer id number even if the business聽聽

has no employees that's because most banks require聽 an employee identification number also known as聽聽

a ein to open any kind of business account also聽 you may find later that other clients or vendors聽聽

may also require your ein to report their income聽 or their expenses from your company getting your聽聽

ein is super easy all you need to do is go to the聽 irs website and complete an online application聽聽

and then your ein will be emailed and mailed to聽 you i'll put a link in the description below if聽聽

you want access to that online application if聽 you need to apply for your own ein so there聽聽
