[11]
to start a business plus it's very risky 8聽 out of 10 small businesses fail right well聽聽
[17]

[28]

[33]
or office space just to set up your foundation聽 so you needed thousands and thousands of dollars聽聽
[39]
just to get started and you need to hope and聽 pray that someone actually buys your products聽聽
[44]
and your services well today you can start a聽 business without nearly as much capital and as聽聽

[65]
profitability now there are so many things to聽 think about when you're starting a business聽聽
[70]

[74]
step by step but before i dive in make sure you聽 like this video and you subscribe to learn more聽聽
[81]
about business and financial growth also you don't聽 have to follow this exact order but if you do聽聽
[87]
then it'll make it much easier when you connect聽 all the dots all right let's go ahead and get into聽聽
[93]
it with step number one build your business plan聽 now this step is so obvious so plain so apparent聽聽
[101]
so okay sean we get it i mean a business plan聽 is like an idea right well as someone who has聽聽
[107]
personally rushed through this stuff i can聽 tell you that it is a mistake to not fully聽聽
[111]
think about your business plan now sure you won't聽 have it all figured out on day one but you should聽聽
[117]
definitely ask yourself some of these questions聽 what problem does your business solve and who聽聽
[123]
are the people who have this problem you want to聽 define your audience how big is it what are their聽聽
[130]
goals what are their challenges and also think聽 about your competitors what are their solutions聽聽
[135]
and how are they solving the problem what makes聽 you different and also how can you sustain this聽聽
[141]
difference if you need to replace yourself and聽 also will you need a team will you need a partner聽聽
[146]
what will be your initial cost these are just some聽 of the key questions that you need to ask yourself聽聽
[153]
before you even decide to start a business think聽 of it like this you might decide you want to聽聽
[159]
start a boutique burger restaurant you may get聽 so excited that you find your location you put聽聽
[164]
together your digital menu you hire some staff and聽 you get ready for business only to find out later聽聽
[171]
that there are eight other burger restaurants聽 with bigger menus more quality and lower cost and聽聽
[178]
because you skip the business plan step you're聽 on a fast track to business failure before you聽聽
[184]
even get started so plan plan plan and when you're聽 done planning plan some more let's move on to step聽聽
[192]
number two choose your business entity ladies and聽 gentlemen boys and girls it's time for entity wars聽聽
[200]
let's get ready to choose now there are five types聽 of entities that you can look at when you're ready聽聽
[206]
to make it official so we're gonna look at some聽 of the pros and the cons of each one starting聽聽
[212]
with sole proprietorship now sole proprietors聽 is someone who owns an unincorporated business聽聽
[219]
for themselves which basically means that you聽 begin working at any time for yourself the pro聽聽
[225]
here is that you can get started without fouling聽 any forms which require annual fees another pro is聽聽
[232]
that you are in complete control you keep all the聽 profits and losses for yourself the kind of sole聽聽
[239]
proprietors is that your financials and your legal聽 situations are tied together this means that you聽聽
[246]
are personally liable for your company's actions聽 so if someone has a bad experience with your聽聽
[252]
company and they sue you then they can go after聽 your personal assets which obviously could affect聽聽
[258]
you and your family so i would only recommend聽 a sole proprietorship if okay i don't recommend聽聽
[268]
a sole proprietorship let's move on to the next聽 business entity which is a general partnership if聽聽
[273]
you want to go into business with someone else and聽 you want the same ease of maintenance and freedom聽聽
[278]
that a sole proprietorship gives you then you may聽 want to consider a general partnership now the聽聽
[284]
pros and cons of a general partnership are similar聽 to those of a sole proprietorship except you share聽聽
[290]
control taxes lawsuits profits and losses with a聽 partner or partners so needless to say i'm not a聽聽
[298]
big fan of general partnerships either because聽 you don't have liability protection now the聽聽
[303]
third entity to choose from is a c corporation聽 which sounds so prestigious right well let's聽聽
[309]
look at the pros and the cons the major pro of a聽 c-corporation is that they are legal entities that聽聽
[315]
shield stakeholders from personal liabilities and聽 company debt so if someone sues the company then聽聽
[323]
the only thing that person can go after are the聽 corporations assets another pro of a c corporation聽聽
[330]
is that they can take special deductions such as聽 fringe benefits now the kind of c corporations聽聽
[336]
are the strict guidelines on operations聽 oftentimes you have to hold broad meetings聽聽
[342]
record minutes and meet trading requirements so聽 for most small businesses you will spend more time聽聽
[349]
managing the corporation than actually growing聽 the business plus another con is that you will聽聽
[355]
experience double taxation which basically聽 means the corporation will be taxed and the聽聽
[361]
shareholders will be taxed on any income聽 that the company generates now this is an聽聽
[366]
oversimplification of how c corporations聽 works but in short they're more complex and聽聽
[372]
it can be a huge opportunity cost if you use them聽 the fourth business entity to choose from is an s聽聽
[378]
corporation now at first glance the s corporation聽 and c corporation are very similar except that s聽聽
[384]
corporation is limited to 100 shareholders however聽 the major pro of s-corporations is that you avoid聽聽
[393]
double taxation because the tax liability聽 is passed down directly to the shareholders聽聽
[399]
instead of the corporation and you still get聽 liability protections that c-corporations offer聽聽
[405]
now the kind of s-corps is that you still must聽 have articles of incorporations and you must聽聽
[410]
record corporate minutes like c-corps the entity聽 can be pretty complex and generally requires聽聽
[417]
the help of an accountant for example an s-corp聽 requires that all shareholders within the company聽聽
[424]
take a reasonable salary even if the company is聽 not making a profit now let's cover a fifth and聽聽
[430]
last entity on my list which is the llc llc stands聽 for a limited liability company to me it's like聽聽
[438]
the combination of a sole proprietorship聽 partnership c corporation s corporation聽聽
[444]
all booked into one good flexible option the major聽 probe at loc is that it offers more control and聽聽
[451]
flexibility while also providing that liability聽 protection also you can choose your tax structure聽聽
[458]
from any other entities that we already covered聽 now the major con of llc is that you are required聽聽
[463]
to pay an annual fee and this structure makes it聽 really hard for investors to contribute capital聽聽
[469]
whereas a s corp or c corp makes it very easy so聽 in my opinion out of all these entities the clear聽聽
[476]
winner here is the llc but hey maybe you have a聽 different opinion comment below which structure聽聽
[482]
you think is best let's move on to step number聽 three register your business registering your聽聽
[488]
business may differ between states but oftentimes聽 you will still want to file with your secretary of聽聽
[494]
state office if you have partners it's important聽 to create an operation agreement between you聽聽
[500]
and the other stakeholders this agreement will be聽 used to decide voting rights or control ownership聽聽
[506]
percentage successorship and more many states will聽 ask you for your operations agreement when you're聽聽
[513]
registering your business once you're registered聽 then it's time to move on to step number four聽聽
[519]
get your ein ein stands for employer聽 identification number this is a simple step in聽聽
[525]
the process where you need to make sure you fill聽 out a brief application so you can get a unique聽聽
[530]
number for your business your ein works like a聽 social security number but for your business you聽聽
[537]
will often need it when you're paying employees聽 applying for licenses or permits filing your taxes聽聽
[544]
and paying your team you will also need it for聽 step number five set up your business bank account聽聽
[551]
the cardinal sim when operating your business聽 is to mix your personal finances with your聽聽
[556]
business finances because it can easily blur the聽 lines between your business profit and losses聽聽
[562]
and your tax situation okay let's see 23聽 sales product cost shipping costs make a d聽聽
[569]
tesla uh freeze irs okay so maybe the irs won't聽 show up at your door but you still want to make聽聽
[577]
sure that you're relying on accurate information聽 so you can make strong business decisions all聽聽
[583]
right let's move on to step number six set up聽 your accounting once you have your business bank聽聽
[588]
account you want to make sure you're tracking all聽 your transactions with something like quickbooks聽聽
[594]
and then hire an accountant to help assist you聽 with your bookkeeping your taxes and monitoring聽聽
[600]
your finances closely this way you can concentrate聽 on growing your business instead of more reporting聽聽
[607]
all right let's keep going with step number seven聽 get business insurance i know i know insurance聽聽
[613]
can be boring and sometimes feel like a waste of聽 money earlier we talked about business entities聽聽
[619]
and protecting your personal assets but if you're聽 serious about the success of your business then聽聽
[625]
make sure your business assets are protected as聽 well step number eight protect your intellectual聽聽
[632]
property if you have something that is extremely聽 unique and you spent a lot of time creating it聽聽
[638]
then you should protect it that means opting in聽 for trademarks patents copyrights and so on but it聽聽
[646]
needs to be extremely unique and important listen聽 whether you have a protection in place or not聽聽
[652]
people will try to copy your success so remember聽 there's an opportunity cost to everything that聽聽
[659]
you do you want to make sure you're focused聽 on your growth rather than protecting your聽聽
[663]
trademarks against nobody especially because聽 your legal costs can get very expensive聽聽
[669]
and time consuming and unfortunately sometimes聽 these copycatters will win their legal arguments聽聽
[676]
with a small and simple modification so make sure聽 you stay focused and unfortunately sometimes these聽聽
[682]
copycatters will win their legal arguments by聽 making small and simple modifications all right聽聽
[689]
let's move on to step number nine start marketing聽 in advertising now when you got all your business聽聽
[696]
stuff set up and you're ready to go to market with聽 your products and your services then you're ready聽聽
[701]
to start marketing and advertising your business聽 if you're just starting out then you can check聽聽
[706]
out my video on how to calculate your marketing聽 budget but the key takeaway is to make sure you're聽聽
[712]
putting away at least a year's worth of expenses聽 that will be spent on your advertising which leads聽聽
[718]
us to our last step step number 10 be patient聽 and prudent remember what i said at the beginning聽聽
[726]
starting a business isn't easy but in 2020 it's聽 easier than it's ever been before and in 2021 it's聽聽
[734]
probably gonna get even easier you can do a lot of聽 the things that we talked about by simply whipping聽聽
[739]
out your laptop and hanging out on the couch the聽 most important key to your future success in my聽聽
[745]
opinion is to be patient and prudent because聽 if you follow the steps outlined above there's聽聽
[751]
no reason to give up after a few months and if聽 you're being prudent about your expenses and聽聽
[756]
your financials then you will be able to build a聽 long-lasting company so in conclusion follow these聽聽
[764]
10 steps number one create a business plan number聽 two choose a business entity number three register聽聽
[771]
your business number four get your ein number聽 five set up your business bank account number six聽聽
[780]
set up your accounting number seven get your聽 business insurance number eight protect your聽聽
