What is the process of setting up a Singapore investment holding company? - YouTube

[11]
Hi everyone. My name is Mark. I am the聽 business website director at Healy Consultants聽聽
[15]
in Singapore. I have with me on the video聽 today Grace Odhiambo. She is a senior client聽聽
[20]
engagements manager based in our office in Johor聽 Bahru in Malaysia. Good afternoon Grace. Hi Mark,聽聽
[26]
how are you? I am very good, thank you. How聽 about yourself? I am good as well. Good. Grace,聽聽
[33]
we are sitting here today to talk about Singapore.聽 I think you recently completed a company set up聽聽
[38]
for a client. Will you tell us a little bit about聽 it please? Yeah sure. So we engaged an Australian聽聽
[44]
businessman and he has investments and assets聽 in Australia and he was looking for a stable聽聽
[52]
jurisdiction where he could set up an investment聽 holding company. He had two options at the time.聽聽
[59]
One was Malta and one was Singapore. So what we聽 did, he wanted to know the pros and cons for both聽聽
[67]
jurisdictions. So what we did is he paid us a聽 retainer fee and we provided him a comprehensive聽聽
[76]
comparison table so that he can look at all the聽 options and see where he can decide to set up his聽聽
[83]
business. So then after a lot of deliberation聽 and discussions with our accounting agents聽聽
[92]
in Australia, he went with Singapore. So then聽 we established an investment holding company聽聽
[98]
in Singapore. Okay and I am assuming that聽 is a fairly straightforward process as with聽聽
[103]
any Singapore incorporation, correct?聽 Correct. Okay very good. I believe that聽聽
[110]
the client also requested us to open corporate聽 bank accounts for him. Will you just give us聽聽
[115]
a very quick overview of what we did there? Yeah聽 sure. So our client also asked us to assist him to聽聽
[123]
open two bank accounts and his main requirement聽 was eventually he would like to transfer fiat聽聽
[130]
currency because his main business will be trading聽 in crypto and he would like to transfer fiat聽聽
[136]
currency back to Australia ultimately. So he聽 wanted to know whether these banks will offer聽聽
[143]
him both swift and SEPA facilities for him to聽 be able to transact and to send money back home聽聽
[150]
and what would be the implications and all聽 those requirements. So I had to again draft聽聽
[156]
another comparison, another two comparison tables聽 for him with different options, different banks.聽聽
[163]
We contacted quite a number of banks and most聽 banks apparently do not offer swift transactions聽聽
[169]
to crypto related entities. They consider this聽 too high risk. So eventually we managed to get聽聽
[176]
him two bank accounts as he required. One was聽 in Europe, another one was in the Caribbean.聽聽
[182]
Okay very good. Did the opening of聽 the bank accounts pose any particular聽聽
[187]
logistical challenges Grace? In terms of was the聽 client required to travel or anything like that?聽聽
[193]
No, for both banks, he was not required to travel.聽 They did require certified notarized company聽聽
[201]
documents and due diligence documents and they聽 also requested extensive amount of information聽聽
[208]
and documents from the client including his聽 current trading activity with all the exchanges聽聽
[216]
that he is dealing with, so that they can get an聽 idea of what kind of trading he is doing. Yeah聽聽
[223]
and they also wanted to know whether he has聽 clients or he is just doing trading for himself,聽聽
[227]
and he was able to convince the banks because he聽 provided all the information that was requested.聽聽
[233]
Okay very good, and what sort of timeline are we聽 talking about in terms of opening the accounts?聽聽
[238]
The first bank account was quite fast.聽 I think within less than two months,聽聽
[243]
we had already opened the first bank聽 account. The second one was a challenge.聽聽
[247]
I think it took almost four or five months聽 to open the bank account, the second one.聽聽
[253]
I see. Very good, Grace. Was there anything else聽 in the engagement that we should know about?聽聽
[260]
Well, initially the client's request was to verify聽 about his taxes. He was very concerned about his聽聽
[268]
taxes because as we know, Australia residents,聽 they do pay tax for all income whether it is聽聽
[276]
received in Australia or worldwide income, so he聽 wanted to know the best way to manage his taxes,聽聽
[282]
so that is why we had to set up a call initially聽 with our tax experts in Australia to give him聽聽
[289]
more advice, and so we managed to alleviate any聽 of his concerns. Of course. So to speak, yeah.聽聽
[298]
Okay Grace. Well we will leave it there. Thank you聽 so much for your time. It is interesting always to聽聽
[302]
speak with you and hear about your engagement聽 so we will speak to you again very soon. Thank聽聽
[306]
you for your time. Thank you, Mark. Thanks for聽 taking your time to talk to me. No problem, bye
