What's up? My name is Corlandos Scott and I'm聽 a surrogacy attorney based in Los Angeles聽聽

and I, unlike typical surrogacy courts in some聽 states, help people have babies. Yeah, that kind of聽聽
[34]
surrogacy. So, if you're growing your family through聽 surrogacy, egg donation, sperm donation, any kind of聽聽

assisted reproductive technology, I'm the type of聽 attorney that you'd work with to help you handle聽聽

the legal side of things. And in this video we're聽 going to cover what is breach of contract and what聽聽
[49]
it means in surrogacy. We're going to look at what聽 court handles a breach of contract in this context聽聽
[56]
and we'll also talk about how breach is addressed聽 in surrogacy. So, what is a breach of contract? It's聽聽
[62]
just a fancy legal term, it means one party in a聽 binding agreement failed to deliver or perform聽聽
[68]
the obligations according to the terms of that聽 binding agreement. I like to say it like this.聽聽

A breach means you did something you聽 weren't supposed to do or you didn't聽聽
[78]
do something you were supposed to do. One of the聽 frustrating things about breach of contract is聽聽
[83]
there's no hard and fast rules. Essentially most聽 people will say that a breach is any deviation聽聽
[90]
from your promises in the agreement. So, you could聽 look at the agreement and the facts of your聽聽
[95]
situation and say I think that other person is in聽 breach but just because you claim that there's a聽聽
[100]
breach or you allege that there's a breach doesn't聽 mean that there's necessarily a breach. There needs聽聽
[106]
to be some uninterested, unbiased third party who聽 takes the terms of the agreement and compares it聽聽
[112]
against the facts and determines whether there is聽 an actual breach and to do that, you got to bring聽聽
[118]
a case. Yeah, so you need somebody to hear your聽 argument as to why there's a breach of contract.

So, you feel like somebody's breached the聽 contract with you and you want to make them pay,
[130]
you want to hold them accountable, well like I said聽 you have to initiate a claim but where do you do聽聽
[135]
that? Well, first let's talk about what courts can聽 hear claims and arguments and all that kind of聽聽
[141]
stuff. This is going to be like a mini little law聽 school lesson so I'll basically just give you a聽聽
[145]
degree after this episode. So, for a court to hear聽 your breach of contract claim, they must first have聽聽
[151]
the authority to hear the breach of contract claim,聽 and why do I talk about the question of authority?
[158]
Because courts have different jurisdictions聽 or different purviews, different areas where聽聽
[163]
they are allowed to be the deciders so their聽 authority to hear or entertain a case depends聽聽
[170]
upon what type of court they are. It's basically聽 a system that allows them to filter out cases聽聽
[175]
and limits their authority. So, every court can't聽 hear every case so there's 2 types of authority聽聽
[182]
to hear cases or jurisdiction. There's jurisdiction聽 over the legal issue or there's jurisdiction over聽聽
[188]
the person involved in the matter. If we're talking聽 about jurisdiction over the legal issue, then聽聽
[193]
before a court can entertain or hear your case,聽 the court needs to have the authority to do that.

So, for instance an appellate court can't entertain聽 a case that's being brought for the first time聽聽
[204]
because a court that hears appeals means聽 that a lower court has already heard it,
[208]
that's an example. So, for instance聽 another example would be tax courts聽聽
[213]
only entertain federal tax cases. You know, you聽 can't file a petition to establish parentage in a聽聽
[220]
tax court, just doesn't work like that. Then, I said聽 courts can have jurisdiction over the person. So,聽聽
[227]
if one of the parties is from outside the state聽 where the case is brought and that party raises
[233]
that fact as a defense, then the court may not聽 have jurisdiction or authority over that person聽聽
[239]
or that case. Let's say you're from Louisiana and a聽 matter is being brought in Connecticut, you may say
[246]
look, this court doesn't have jurisdiction over me.聽 I'm not in that state and I'm not going to visit聽聽
[251]
that state for them to get jurisdiction over me.聽 Now, I know the title of the video talked about聽聽
[256]
surrogate courts and breaches of contract but聽 let's be very clear. I want to clarify something.

The phrase "surrogate court" is not a court handling聽 cases filed by surrogates or intended parents聽聽
[269]
regarding a surrogacy agreement. So, what is a聽 surrogate court and what is this jurisdiction? Well,聽聽
[275]
a surrogate court really has jurisdiction over聽 ownership disputes between living persons and聽聽
[282]
decedents or people who have died. So, some know聽 that as a probate court, this is the type of聽聽
[289]
court in some states that administers will's and聽 estates and handles guardianships and trusts and聽聽
[294]
things like that. The idea is that they're playing聽 on the actual definition of the word "surrogate,"聽聽
[300]
you know somebody who does something in the聽 stead of someone else. So, if a person has died,
[305]
if they're deceased, they can no longer administer聽 their estate so the court steps in as a surrogate聽聽
[312]
for the deceased person. So, that's what many聽 people are referring to when they're talking聽聽
[316]
about a surrogate court but I think聽 it's a good time for us to address聽聽
[320]
surrogates in a assisted reproduction arrangement聽 and breaches of contract. So, let's talk about聽聽
[327]
breaches of contract in the surrogacy arrangement.聽 Hey, but before I do, do me a quick favor. Just go聽聽

nothing it's no big deal, just yeah, just knock it聽 out. You see, easy. Easy, so yeah, let's get back to it.

So, what does it mean to breach a surrogacy聽 agreement? Well, surrogates can breach a surrogacy聽聽
[349]
agreement. When a surrogate agrees to for instance聽 follow the medical instructions and she fails to聽聽
[354]
follow medical instructions, that's a breach. When聽 a surrogate agrees to inform the parents before聽聽
[360]
moving out of state or traveling out of state and聽 she fails to do so, that would be a breach of the聽聽
[365]
agreement. Here's another example. When a surrogate聽 agrees to terminate the pregnancy at the doctor's聽聽
[371]
recommendation to the parents because the baby聽 has a medical issue that the parents have asked聽聽
[377]
the surrogate and she's agreed to terminate聽 under and she doesn't do it, that would be a聽聽
[381]

abort a pregnancy. Last but not least, you know,聽 I've never seen this happen in any of my cases聽聽

any of my colleagues cases but I have heard that聽 it has happened before. So, another breach would be聽聽
[405]
when the surrogate refuses to release custody of聽 the child or surrender the child to the intended聽聽
[411]
parents after delivery, that would definitely be聽 a breach of contract. But surrogates aren't the聽聽
[417]
only party to a surrogacy contract there has聽 to be another side, right, the intended parents.

Well, intended parents can break their promises or聽 fail to live up to the terms of the contract too聽聽
[426]
and when intended parents fail to fund聽 the trust account or the escrow account
[431]
to answer for the medical expenses, that's a breach聽 of contract. When intended parents failed to make聽聽
[436]
the proper payments and or reimburse the surrogate聽 for the agreed upon surrogacy related expenses,
[442]
that's a breach of contract. If the intended聽 parents failed to take custody of the child after聽聽
[448]
delivery, that is a breach of contract. You would be聽 surprised but I hear more cases where the intended聽聽
[456]
parents abandoned the baby than I've ever heard of聽 surrogates wanting to keep the baby. So, that would聽聽
[463]
also be a breach of contract. If the parents聽 violate the surrogate's confidentiality and聽聽
[468]
privacy, again, that would be a breach of contract.聽 So, going back to the idea of surrogacy courts,聽聽
[477]
you know, you may be wondering well, what courts do聽 surrogacy related cases go to if they don't go to聽聽
[483]
surrogacy courts? Well, again, we realize like that聽 they're using surrogacy in a different context聽聽
[489]
but a surrogacy related case with regards聽 to assisted reproduction simply goes to聽聽
[494]
the court in the state that has jurisdiction聽 over that surrogacy agreement. So, for instance,
[500]
if a surrogacy arrangement happened in Los Angeles,聽 based on California law and it was drafted with聽聽
[507]
regard to being heard and under the jurisdiction聽 of the county of Los Angeles, it would simply聽聽
[512]
go to Los Angeles superior court in the proper聽 department that handles those cases. So, essentially聽聽
[518]
any court that has the authority to hear your case,聽 you know, the legal parentage or custody or breach,
[524]
one of the places to look for a clue as to聽 where a breach of contract should be filed, in聽聽
[530]
your particular case, it would be included in the聽 terms and conditions of the surrogacy agreement.

Oftentimes there will be a choice of law section聽 and a jurisdiction section in your surrogacy聽聽
[543]
contract and it'll tell you what court each party聽 is submitting to with regards to jurisdiction聽聽
[548]
and of course choice of law. So, that's going聽 to be a great place for you to go check聽聽
[552]
to find out where to bring a breach of contract聽 claim in a surrogacy arrangement that you're in.

But now is a good time to discuss how we handle聽 breach of contract claims in a surrogacy agreement聽聽
[564]
because this isn't any old agreement, right? You聽 know once a surrogate is pregnant, she's kind of聽聽
[571]
pregnant and there's really no turning back until聽 she delivers. So, surrogacy is a bit different than聽聽
[577]
other contractual relationships because it's not聽 just like, you know, I hired someone to mow my lawn聽聽
[582]
and I get angry with them and it's all bets聽 are off, stop mowing my lawn. Well, I can't say聽聽
[587]
all bets are off, stop carrying my baby. It's not聽 necessarily safe so, there's a nuance and there聽聽
[593]
is a certain finesse that needs to be applied to聽 surrogacy arrangements even with regards to breach聽聽
[601]
of contract claims. So, when there's a possible聽 breach of contract in a surrogacy agreement, the聽聽
[606]
parties just don't steam head first and file a聽 case in court. First, we take steps to assess the聽聽
[613]
potential breach or material breach and it's聽 really handled in more of a gradual nature聽聽
[618]
so as to make a determination and not jump to聽 conclusions. First thing we need to do is determine聽聽
[624]
if there's a breach or if there's a likely breach.聽 Now, some things are very easy to determine. You聽聽
[630]
know let's say that the surrogate was supposed聽 to have a doctor's appointment and the surrogate聽聽
[636]
didn't show up at the doctor's appointment. Well,聽 that's very easy to find out. We can just simply聽聽
[642]
check the records at the doctor's office and find聽 out did she show up. If she didn't, that's a breach聽聽
[646]
of contract. But again it's not time to run to聽 the court and file a breach of contract claim.

The first thing we do after there is a likely聽 breach or or a seriously alleged breach is we聽聽
[656]
provide notice to the breaching party. So, after聽 you discover the breach, put the other party on聽聽
[662]
notice that hey, I think you violated the contract聽 and again you wouldn't want to do this directly.

If at all possible, you want to work through your聽 professionals, that's why you pay them. So, you want聽聽
[674]
to reach out to your attorney to contact her聽 attorney or or the parent's attorney or vice聽聽
[678]
versa however the breach is flowing or even get聽 the agency involved if you have an agency helping聽聽
[684]
but you want to put the people on notice that聽 they've reached. The next thing that you should聽聽
[688]
do is give the breaching party the opportunity to聽 cure the breach or fix it, that's what I mean by聽聽
[695]
cure. So, essentially you give them the opportunity聽 to make it right and if it's something as simple聽聽
[700]
as missing a doctor's appointment, then for sure聽 you can reschedule the appointment and hopefully聽聽
[706]
for a very close time and get it knocked out and聽 that way you've cured or you fixed the breach.

If there is a breach and it can't be cured聽 in a timely fashion, you would want to take聽聽
[719]
a step prior to initiating court proceedings and聽 that step may be mediation. So, the agency and the聽聽
[725]
attorneys would first try to mediate or settle the聽 misunderstanding or maybe you take it to formal聽聽
[730]
mediation with the mediation company. If efforts聽 at mediating the issue fail, you can also bring in聽聽
[737]
a mental health professional to talk through聽 it if it's only issues that are related to聽聽
[742]
relationship or relational issues. If talking to聽 the mental health professional doesn't work, if聽聽
[748]
mediation doesn't work, then you can actually go to聽 arbitration and that's when the dispute is brought聽聽
[753]
before an arbitration board or an arbitration聽 court and you have a hearing that's very very聽聽
[758]
similar to a court hearing and actually is held聽 by attorneys or retired judges and it's private聽聽
[765]
in nature and really a lot of intended parents聽 and surrogates, they rather go the arbitration聽聽
[769]
route than court because again, it is private. Once聽 you file something in court, it's public record for聽聽
[775]
the most part unless it involves a minor and聽 some courts do view surrogacy arrangements as聽聽
[781]
court proceedings that involve minors and they聽 will seal the records so that it's not available聽聽
[786]
to the public, but that's not a guarantee. So,聽 that's why most parties will prefer to have聽聽
[792]
an arbitration because they get the same level of聽 a court proceeding, but it's a private resolution聽聽
[798]
to the issues. So, in an arbitration, the arbitrator聽 will heal the case and they will make a binding聽聽
[804]
decision on the matter just like if it was a court.聽 And then last but not least, if all those things聽聽
[810]
fail, you can always take your matter to a court聽 of competent jurisdiction, meaning a court that has聽聽
[816]
the jurisdiction to hear the case. If you're in a聽 surrogacy arrangement and you feel like the other聽 聽

party has breached the arrangement, my first advice聽 is reach out to them through your representatives,
