legally and ethically and last but not least, I'm聽 going to share with you my secret sauce on how you聽聽

can get this done for less than a thousand dollars聽 total. So, let's start off with what is a crowdfund?

Before I even can get into telling you how to聽 get five million dollars, there's some of you聽聽
[59]
that don't even know what a crowdfund is so let me聽 explain that to you really quickly. A crowdfund is聽聽

just like what it sounds like. It is a fund raised聽 by a crowd of people but they call it that because聽聽
[71]
they are unaccredited investors. Basically聽 a crowdfund is a fund that you can create聽聽

for your business and whether it be real estate聽 or business or entrepreneurial thing where you are聽聽
[81]
raising money for this intended purpose and again,聽 it is very specific. You cannot raise money just to聽聽
[86]
pay your bills, I'm not talking about raising money聽 to pay for your hospital or anything like that. I'm聽聽
[91]
talking about a regulation CF which is regulated聽 through the Securities and Exchange Commission聽聽
[97]
otherwise known as the SEC. I'm telling you how聽 you can get a regulation crowdfund legally, have聽聽
[103]
it set up where you are able to raise money聽 from unaccredited investors, meaning just聽聽
[108]
anyone in the whole world basically and how they聽 can be a part of your business and how you can聽聽
[113]
give them shares of your business, whether it's聽 a business that you've had for a long time or if聽聽
[118]
it's a business that you just created. You can do聽 this. So, this is an amazing opportunity for regular聽聽
[124]
people to have all of the money that they need for聽 their business by raising money from other regular聽聽
[129]
people. Brilliant idea so let's get to how you do聽 it. So as many of you guys may know, I raised over a聽聽

million dollars during the pandemic for my company,聽 Nuurez incorporated. If you want to check out the聽聽

of properties, we mostly do short-term rentals and聽 corporate housing. I created this company so that聽聽

I could partner with regular individuals. Many聽 people have saw me on YouTube and in my podcast聽聽

and my books and they wanted to partner with me聽 but at the time I really just could not partner聽聽

individually with all of these people or all of聽 my students so I created this vehicle which I

didn't even know about, it was actually my mentor聽 Kevin Harrington that taught me this and taught me聽聽

about crowdfunds and he taught me how to get this聽 in just three weeks and even endorsed the company聽聽

and helped me raise money and that's one of the聽 secrets that I'm going to share with you a little聽聽

bit later. But basically with Nuurez incorporated,聽 we started the crowd fund, we got it all through聽聽

and the minimum investment was just $500. So anyone聽 that wanted to invest in the company, they could聽聽

go to this website at the time, I went through a聽 company called Trucrowd which is t-r-u-c-r-o-w-d,

Trucrowd that is where we had our fund and聽 again it is closed at the time of this recording聽聽

that fund is closed. We raised the maximum that聽 was allowed at the time which was a little bit聽聽
[209]
over a million dollars, this was 2020. In March聽 of 2021, the law was actually changed and now聽聽
[215]
you can raise 5 million on a crowd fund on a聽 regulation CF so this is an amazing opportunity,

this is something that I've done and now again聽 instead of being able to raise just 1 million聽聽

70 you know thousand dollars, you can raise up to 5聽 million dollars from unaccredited investors. Let me聽聽

tell you how to do it because Noelle unfortunately聽 is not going to be doing another crowd fun in the聽聽

about how I did it and I'm going to give you the聽 step-by-step process. Step one, you need to decide聽聽
[265]
on what it is that your business does. What is it聽 that you are raising money for? This is probably聽聽
[271]
the hardest part but it is not very difficult but聽 most people actually will tell you that they want聽聽
[276]
millions of dollars for their business three聽 million, five million which is really a lot of聽聽
[280]
money for a business. You don't probably need that聽 much. You really could probably raise a hundred聽聽
[284]
thousand or 250,000. Again, that is the beauty聽 of the crowd fund. Like I said, you can raise up聽聽
[290]
to five million dollars legally right now at the聽 time of this recording however, you do not have to聽聽
[296]
raise five million dollars because unfortunately聽 if you raise five million dollars, you're going to聽聽
[300]
have to invest it in your business and know what聽 to do with it. So in most cases, I'm going to give聽聽
[305]
you a quick warning, you probably do not need five聽 million dollars to make your business happen. You聽聽
[310]
probably only need a few hundred thousand. I was聽 able to do a million because I was buying real聽聽
[314]
estate and I knew exactly how much I needed聽 to buy and of course with short-term rentals,
[319]
we have to furnish the entire Airbnb. You have to聽 buy all the furniture, all of the pots, all of the聽聽
[324]
pans, everything so it does require some money to聽 start up your Airbnb business so that is why聽聽
[331]
I selected the maximum amount. I already knew so聽 think about that before you actually launch your聽聽
[336]
Airbnb. Decide what it is that you're going to do聽 in your business and what you're going to use the聽聽
[342]
money for. You're going to have to think about this.聽 You may have to sit down with a pen and paper by聽聽
[347]
yourself and really just go through this because聽 this is the exercise that I had to do because聽聽
[351]
you're going to have to explain to the people that聽 you're raising money from what you're going to do聽聽
[356]
with the money. They're going to want to know.聽 No one's just going to give you 500, 1000 2000,
[360]
they're not going to give you any money unless聽 they are confident that you are going to actually聽聽
[364]
do what you're saying you're going to do with聽 it and so you have to know what you're going to聽聽
[368]
do with it, that's step one. Step two, create a new聽 entity. Now, this is a Noelleism. I started a brand聽聽
[376]
new company and this is what I suggest for you聽 but you do not have to do this step. You may have聽聽
[380]
a business already with the LLC established, an聽 EIN, a website, a phone number, things like that,
[388]
just five or six things to actually establish聽 the business legally and again, I make tons tons聽聽
[392]
of videos teaching you that. Make sure you watch聽 that whole playlist if you don't know how to set聽聽
[396]
up a business because I teach you that but it is聽 really simple and in many cases you can do it in聽聽
[400]
just one day depending on what state you're in,聽 but you have to actually set up a new business.聽聽

This is what I suggest. Yes, on a crowdfund you聽 can use a business that's already established so聽聽
[409]
if you have a trucking company or a video business聽 or hair business, yes, you could use that business,聽聽
[413]
submit the financials for that business and get聽 a crowdfund but, I do not recommend that. I don't.

Just because your business already has a history,聽 it already has things going on and the more things聽聽
[424]
you already have going on in your business, the聽 more it's going to be scrutinized but if you start聽聽
[429]
a brand new entity where you're starting fresh, all聽 right, and you're saying this is what we're going聽聽
[435]
to do in the business, it gives your investors to a聽 new opportunity and it gives them a clean slate of聽聽
[440]
what's possible. If you already have a business聽 established, it kind of muddies the聽聽
[445]
water and you have to submit all of your previous聽 financials of what you've done in the business聽聽
[450]
previously and sometimes investors are not going聽 to like what they see however, it's ironic because聽聽
[456]
if you have a brand new business with no history,聽 there's nothing for them to see. Also, it's not much聽聽
[462]
for the SEC to scrutinize and really all they do聽 is scrutinize you. They want to make sure that you聽聽
[468]
don't have any financial criminal background and聽 make sure you have no criminal history, make sure聽聽
[473]
you don't have terrible, terrible credit, you know聽 what I'm saying? You can't have some things on your聽聽
[477]
credit but make sure that you know you're a sound聽 person and that the business is legally set up聽聽
[483]
and then you'll have a CPA, I'll get to that in a聽 second, create some financials for you with some聽聽
[487]
projections of what you're going to do and that聽 is really the easiest way to set up your crowd聽聽
[492]
fund so that's what you should do. Set up a new聽 entity, that's step two. Let's get to number three.

Step three, sign up with a crowd funding聽 platform. I, Noelle, used trucrowd.com聽聽

however I am not going to make a recommendation聽 in this video for any particular platform. There聽聽
[510]
are companies besides Trucrowd companies for聽 example like start engine and again you can google聽聽
[516]
crowd funding platforms and a list of different聽 crowdfunding platforms will come up and those聽聽
[522]
are the companies that will help you set up your聽 crowdfund. You basically create account with them聽聽
[528]
and they have people on staff that will help walk聽 you through and most of these companies also have聽聽
[533]
recommendations for the attorney and for the聽 accountant that you will need to help you set聽聽
[539]
up your crowdfund. Now again, this is super easy聽 because what I'm telling you to do is create a聽聽
[544]
new entity, create a new business and raise money聽 for that new business. Don't use a business that聽聽
[550]
you already have, you can use a business that聽 you already have to justify why you are credible聽聽
[555]
to justify why this is something you've done聽 before in the past and show your history but you聽聽
[559]
don't want to use your previous business because聽 you already have- that business already has its聽聽
[563]
thing and when you start this business, you own聽 it essentially with your investors. So it's a much聽聽
[569]
easier, simpler, cleaner way to do it, additionally聽 this is something that the crowdfunding platform聽聽
[575]
is probably going to recommend you to do because聽 that's what they recommended me to do but again,聽聽
[578]
everybody's situation is different. I'm just giving聽 you my experience and my opinion, that's it. Now聽聽
[584]
once you get with the crowdfunding platform, they聽 are going to get a CPA to drop your financials.

This is step four. The CPA will create financials聽 for your company, how much money you've invested聽聽
[593]
into it so far and will also give some projections聽 on what you expect to make. This is a very simple聽聽
[598]
process. You can get this done really simply聽 because again, you don't have a history so they're聽聽
[603]
not auditing the previous financials or giving you聽 financial statements of what you've already done.

They're basically saying where you are at this聽 point and giving you some projections so this is聽聽
[611]
a very simple process. It's not difficult and聽 I think this is where most people get scared.

Oh, man, what am I going to do? I'm going to have聽 a certified you know accountant look at my stuff?

CPA stands for certified public accountant and聽 so these are people that are certified to do聽聽
[627]
accounting on a very public level. They've taken聽 these rigorous standards and testing and things聽聽
[632]
like that so it can be a little bit intimidating聽 but it's not. Remember, you created a brand new聽聽
[637]
entity so they're just kind of like oh, I don't聽 have much to look at and this is what the person聽聽
[642]
said they're going to make so they're going聽 to create financials kind of around that so,聽聽
[646]
it's nowhere near as difficult as you think聽 and this is why anyone can start a crowdfund.

Step five, you are going to then get it approved聽 through the Securities and Exchange Commission.

So once you have gotten the memorandum done of聽 like okay like I said, you thought about it and聽聽
[662]
you wrote it out what your business is going to do,聽 you've given that to your crowd funding platform,聽聽
[667]
okay? Now you've given the financials, you've had聽 a CPA do the financials with, you know the past聽聽
[672]
you know what's going on, nothing, and then what you聽 project in the future which is what you thought of聽聽
[676]
you know this is what you project your business聽 to make and this is why this is really amazing.

And then the next thing is it's going to get聽 uploaded to the Securities and Exchange Commission.

It's a separate system where you like upload the聽 memorandum, you upload the financials and then聽聽
[690]
you wait for your approval. Sometimes they may not聽 approve you on the first step, they may reject it聽聽

but many cases is rejected for a few minor聽 things and again, your crowdfunding platform聽聽

will help you overcome that. Ours was rejected the聽 first time, again I'm sharing you my real story,

and it was just really something simple that聽 we needed to fix. It wasn't anything I needed to聽聽
[710]
go back to the accountant for it, wasn't anything聽 I needed to go to an attorney for. It was just聽聽
[714]
explaining what areas of the country we were going聽 to get you know properties in or something like聽聽
[720]
that. It was just a really simple thing, nothing聽 crazy, it was not a difficult process. I was almost聽聽
[726]
shocked at how easy it was and that's what I want聽 to share with you. I cannot believe the opportunity聽聽
[732]
that exists for business owners, for entrepreneurs聽 to raise five million dollars for their business聽聽

and how very few people are taking advantage of聽 this. This is an amazing opportunity, it's not very聽聽
[743]
expensive, it's not a difficult process and you聽 do not have to raise 5 million. You can raise less聽聽

than that and I'm going to share with you a big聽 secret on how you actually raise the money, okay?

I said I would share and I'm going to share the聽 big secret. The big secret on how to raise a lot of聽聽

money for your crowd fund is to use an influencer.聽 Yeah, you need to use a celebrity or an influencer,

someone that people already trust, they already聽 know and they already recognize. So big secret聽聽

with Nuurez incorporated, Kevin Harrington made a聽 video endorsing the company and I was able to use聽聽

that video in all of the marketing so when you聽 went to Nuurez.com to see about the opportunity,聽

the video with Kevin Harrington was there聽 and then also when you went to the website聽聽

to invest, that video was there and that gave聽 people trust and credibility. Kevin Harrington聽聽

used to be on the show Shark Tank. He's worth聽 you know 500 million dollars and he's telling聽聽

people that yeah, I think Noelle and her company are聽 a good bet and this is what I am saying about that聽聽

and you can do the same thing. Here's the big聽 secret. I had to pay him to make the video.聽聽

Yeah, big secret. You can pay influencers,聽 celebrities to endorse your business and聽聽

make you a video. I'm not going to share with聽 you how much I paid for the video but it was way聽聽

less than you're probably thinking because this is聽 something Kevin Harrington does on a regular basis.

He endorses businesses, he either is paid for the聽 endorsement or he takes a share of the company,聽聽

things like that. Now again I'm not speaking on聽 him, it's not what this video is about. It's about聽聽

teaching you that if you can get a celebrity聽 or an influencer to endorse your business, even聽聽
[850]
making a video, it is a strong selling point on聽 how people will invest in your company. It worked聽聽
[856]
miracles for me and it got our thing going and聽 then once people see that there's money in there,
[860]
it's really easy to get more people to raise聽 money. Once you get it going, it's like a snowball.

You get that little thing going, people see oh聽 man, somebody already put money in. Oh, I'll put聽聽
[870]
money in and then after people start putting money聽 in it, it just grows and grows and it's exploded聽聽

and grew so fast but again, the big secret聽 is getting an influencer, a celebrity or a聽聽
[881]
superstar even even an athlete or someone that聽 is influential, someone that is rich, successful,

you get what I'm saying, to endorse your business聽 and make a video endorsing your business and again,

you may have to pay a little bit for it but聽 it's worth it, that's one because again, the聽聽
[900]
credibility of someone besides yourself endorsing聽 your business will draw other people to it.

Additionally the amount that you pay them, actually聽 you can write off in the business as marketing聽聽

expenses so that's a really big secret. So, let聽 me give you one last secret on how to do this. So聽聽

another thing that we did to get money into our聽 crowd fund is we would do weekly webinars where聽聽

we were explaining the opportunity to people聽 and we would just meet on a Zoom meeting, tell聽聽

people I had the same presentation again, that I聽 would run over and over telling people what

the company was about, how much we were needing,聽 tell them how to do it and again raising money聽聽

and doing this every single week. It worked聽 and it raised hundreds of thousands of dollars聽聽

every single month in combination with the聽 video from the influencer, celebrity. Now if聽聽
