How ANYONE Can Start A Crowdfund - YouTube

How anyone can start a crowdfund. Did you  know that legally you can get a regulation  

crowdfund and raise up to 5 million  dollars for your business? Did you know  

that I know how to do that and I am going  to tell you how in this video? Let's go.

In this video I'm going to share with you how to  raise lots of money even during a pandemic like  

I did, I'm going to share with you the simple  step-by-step process for getting a crowdfund  

legally and ethically and last but not least, I'm  going to share with you my secret sauce on how you  

can get this done for less than a thousand dollars  total. So, let's start off with what is a crowdfund?

Before I even can get into telling you how to  get five million dollars, there's some of you  

that don't even know what a crowdfund is so let me  explain that to you really quickly. A crowdfund is  

just like what it sounds like. It is a fund raised  by a crowd of people but they call it that because  

they are unaccredited investors. Basically  a crowdfund is a fund that you can create  

for your business and whether it be real estate  or business or entrepreneurial thing where you are  

raising money for this intended purpose and again,  it is very specific. You cannot raise money just to  

pay your bills, I'm not talking about raising money  to pay for your hospital or anything like that. I'm  

talking about a regulation CF which is regulated  through the Securities and Exchange Commission  

otherwise known as the SEC. I'm telling you how  you can get a regulation crowdfund legally, have  

it set up where you are able to raise money  from unaccredited investors, meaning just  

anyone in the whole world basically and how they  can be a part of your business and how you can  

give them shares of your business, whether it's  a business that you've had for a long time or if  

it's a business that you just created. You can do  this. So, this is an amazing opportunity for regular  

people to have all of the money that they need for  their business by raising money from other regular  

people. Brilliant idea so let's get to how you do  it. So as many of you guys may know, I raised over a  

million dollars during the pandemic for my company,  Nuurez incorporated. If you want to check out the  

website, you can go to n-u-u-r-e-z.com so basically  Nuurez is a short-term rental company. We have lots  

of properties, we mostly do short-term rentals and  corporate housing. I created this company so that  

I could partner with regular individuals. Many  people have saw me on YouTube and in my podcast  

and my books and they wanted to partner with me  but at the time I really just could not partner  

individually with all of these people or all of  my students so I created this vehicle which I

didn't even know about, it was actually my mentor  Kevin Harrington that taught me this and taught me  

about crowdfunds and he taught me how to get this  in just three weeks and even endorsed the company  

and helped me raise money and that's one of the  secrets that I'm going to share with you a little  

bit later. But basically with Nuurez incorporated,  we started the crowd fund, we got it all through  

and the minimum investment was just $500. So anyone  that wanted to invest in the company, they could  

go to this website at the time, I went through a  company called Trucrowd which is t-r-u-c-r-o-w-d,

Trucrowd that is where we had our fund and  again it is closed at the time of this recording  

that fund is closed. We raised the maximum that  was allowed at the time which was a little bit  

over a million dollars, this was 2020. In March  of 2021, the law was actually changed and now  

you can raise 5 million on a crowd fund on a  regulation CF so this is an amazing opportunity,

this is something that I've done and now again  instead of being able to raise just 1 million  

70 you know thousand dollars, you can raise up to 5  million dollars from unaccredited investors. Let me  

tell you how to do it because Noelle unfortunately  is not going to be doing another crowd fun in the  

near future. So before I get into that, you need to  subscribe to my channel. Make sure you subscribe

of my million dollar secrets to you again for free.  All right so let's get to this part. So let's talk  

about how I did it and I'm going to give you the  step-by-step process. Step one, you need to decide  

on what it is that your business does. What is it  that you are raising money for? This is probably  

the hardest part but it is not very difficult but  most people actually will tell you that they want  

millions of dollars for their business three  million, five million which is really a lot of  

money for a business. You don't probably need that  much. You really could probably raise a hundred  

thousand or 250,000. Again, that is the beauty  of the crowd fund. Like I said, you can raise up  

to five million dollars legally right now at the  time of this recording however, you do not have to  

raise five million dollars because unfortunately  if you raise five million dollars, you're going to  

have to invest it in your business and know what  to do with it. So in most cases, I'm going to give  

you a quick warning, you probably do not need five  million dollars to make your business happen. You  

probably only need a few hundred thousand. I was  able to do a million because I was buying real  

estate and I knew exactly how much I needed  to buy and of course with short-term rentals,

we have to furnish the entire Airbnb. You have to  buy all the furniture, all of the pots, all of the  

pans, everything so it does require some money to  start up your Airbnb business so that is why  

I selected the maximum amount. I already knew so  think about that before you actually launch your  

Airbnb. Decide what it is that you're going to do  in your business and what you're going to use the  

money for. You're going to have to think about this.  You may have to sit down with a pen and paper by  

yourself and really just go through this because  this is the exercise that I had to do because  

you're going to have to explain to the people that  you're raising money from what you're going to do  

with the money. They're going to want to know.  No one's just going to give you 500, 1000 2000,

they're not going to give you any money unless  they are confident that you are going to actually  

do what you're saying you're going to do with  it and so you have to know what you're going to  

do with it, that's step one. Step two, create a new  entity. Now, this is a Noelleism. I started a brand  

new company and this is what I suggest for you  but you do not have to do this step. You may have  

a business already with the LLC established, an  EIN, a website, a phone number, things like that,

just five or six things to actually establish  the business legally and again, I make tons tons  

of videos teaching you that. Make sure you watch  that whole playlist if you don't know how to set  

up a business because I teach you that but it is  really simple and in many cases you can do it in  

just one day depending on what state you're in,  but you have to actually set up a new business.  

This is what I suggest. Yes, on a crowdfund you  can use a business that's already established so  

if you have a trucking company or a video business  or hair business, yes, you could use that business,  

submit the financials for that business and get  a crowdfund but, I do not recommend that. I don't.

Just because your business already has a history,  it already has things going on and the more things  

you already have going on in your business, the  more it's going to be scrutinized but if you start  

a brand new entity where you're starting fresh, all  right, and you're saying this is what we're going  

to do in the business, it gives your investors to a  new opportunity and it gives them a clean slate of  

what's possible. If you already have a business  established, it kind of muddies the  

water and you have to submit all of your previous  financials of what you've done in the business  

previously and sometimes investors are not going  to like what they see however, it's ironic because  

if you have a brand new business with no history,  there's nothing for them to see. Also, it's not much  

for the SEC to scrutinize and really all they do  is scrutinize you. They want to make sure that you  

don't have any financial criminal background and  make sure you have no criminal history, make sure  

you don't have terrible, terrible credit, you know  what I'm saying? You can't have some things on your  

credit but make sure that you know you're a sound  person and that the business is legally set up  

and then you'll have a CPA, I'll get to that in a  second, create some financials for you with some  

projections of what you're going to do and that  is really the easiest way to set up your crowd  

fund so that's what you should do. Set up a new  entity, that's step two. Let's get to number three.

Step three, sign up with a crowd funding  platform. I, Noelle, used trucrowd.com  

however I am not going to make a recommendation  in this video for any particular platform. There  

are companies besides Trucrowd companies for  example like start engine and again you can google  

crowd funding platforms and a list of different  crowdfunding platforms will come up and those  

are the companies that will help you set up your  crowdfund. You basically create account with them  

and they have people on staff that will help walk  you through and most of these companies also have  

recommendations for the attorney and for the  accountant that you will need to help you set  

up your crowdfund. Now again, this is super easy  because what I'm telling you to do is create a  

new entity, create a new business and raise money  for that new business. Don't use a business that  

you already have, you can use a business that  you already have to justify why you are credible  

to justify why this is something you've done  before in the past and show your history but you  

don't want to use your previous business because  you already have- that business already has its  

thing and when you start this business, you own  it essentially with your investors. So it's a much  

easier, simpler, cleaner way to do it, additionally  this is something that the crowdfunding platform  

is probably going to recommend you to do because  that's what they recommended me to do but again,  

everybody's situation is different. I'm just giving  you my experience and my opinion, that's it. Now  

once you get with the crowdfunding platform, they  are going to get a CPA to drop your financials.

This is step four. The CPA will create financials  for your company, how much money you've invested  

into it so far and will also give some projections  on what you expect to make. This is a very simple  

process. You can get this done really simply  because again, you don't have a history so they're  

not auditing the previous financials or giving you  financial statements of what you've already done.

They're basically saying where you are at this  point and giving you some projections so this is  

a very simple process. It's not difficult and  I think this is where most people get scared.

Oh, man, what am I going to do? I'm going to have  a certified you know accountant look at my stuff?

CPA stands for certified public accountant and  so these are people that are certified to do  

accounting on a very public level. They've taken  these rigorous standards and testing and things  

like that so it can be a little bit intimidating  but it's not. Remember, you created a brand new  

entity so they're just kind of like oh, I don't  have much to look at and this is what the person  

said they're going to make so they're going  to create financials kind of around that so,  

it's nowhere near as difficult as you think  and this is why anyone can start a crowdfund.

Step five, you are going to then get it approved  through the Securities and Exchange Commission.

So once you have gotten the memorandum done of  like okay like I said, you thought about it and  

you wrote it out what your business is going to do,  you've given that to your crowd funding platform,  

okay? Now you've given the financials, you've had  a CPA do the financials with, you know the past  

you know what's going on, nothing, and then what you  project in the future which is what you thought of  

you know this is what you project your business  to make and this is why this is really amazing.

And then the next thing is it's going to get  uploaded to the Securities and Exchange Commission.

It's a separate system where you like upload the  memorandum, you upload the financials and then  

you wait for your approval. Sometimes they may not  approve you on the first step, they may reject it  

but many cases is rejected for a few minor  things and again, your crowdfunding platform  

will help you overcome that. Ours was rejected the  first time, again I'm sharing you my real story,

and it was just really something simple that  we needed to fix. It wasn't anything I needed to  

go back to the accountant for it, wasn't anything  I needed to go to an attorney for. It was just  

explaining what areas of the country we were going  to get you know properties in or something like  

that. It was just a really simple thing, nothing  crazy, it was not a difficult process. I was almost  

shocked at how easy it was and that's what I want  to share with you. I cannot believe the opportunity  

that exists for business owners, for entrepreneurs  to raise five million dollars for their business  

and how very few people are taking advantage of  this. This is an amazing opportunity, it's not very  

expensive, it's not a difficult process and you  do not have to raise 5 million. You can raise less  

than that and I'm going to share with you a big  secret on how you actually raise the money, okay?

I said I would share and I'm going to share the  big secret. The big secret on how to raise a lot of  

money for your crowd fund is to use an influencer.  Yeah, you need to use a celebrity or an influencer,

someone that people already trust, they already  know and they already recognize. So big secret  

with Nuurez incorporated, Kevin Harrington made a  video endorsing the company and I was able to use  

that video in all of the marketing so when you  went to Nuurez.com to see about the opportunity, 

the video with Kevin Harrington was there  and then also when you went to the website  

to invest, that video was there and that gave  people trust and credibility. Kevin Harrington  

used to be on the show Shark Tank. He's worth  you know 500 million dollars and he's telling  

people that yeah, I think Noelle and her company are  a good bet and this is what I am saying about that  

and you can do the same thing. Here's the big  secret. I had to pay him to make the video.  

Yeah, big secret. You can pay influencers,  celebrities to endorse your business and  

make you a video. I'm not going to share with  you how much I paid for the video but it was way  

less than you're probably thinking because this is  something Kevin Harrington does on a regular basis.

He endorses businesses, he either is paid for the  endorsement or he takes a share of the company,  

things like that. Now again I'm not speaking on  him, it's not what this video is about. It's about  

teaching you that if you can get a celebrity  or an influencer to endorse your business, even  

making a video, it is a strong selling point on  how people will invest in your company. It worked  

miracles for me and it got our thing going and  then once people see that there's money in there,

it's really easy to get more people to raise  money. Once you get it going, it's like a snowball.

You get that little thing going, people see oh  man, somebody already put money in. Oh, I'll put  

money in and then after people start putting money  in it, it just grows and grows and it's exploded  

and grew so fast but again, the big secret  is getting an influencer, a celebrity or a  

superstar even even an athlete or someone that  is influential, someone that is rich, successful,

you get what I'm saying, to endorse your business  and make a video endorsing your business and again,

you may have to pay a little bit for it but  it's worth it, that's one because again, the  

credibility of someone besides yourself endorsing  your business will draw other people to it.

Additionally the amount that you pay them, actually  you can write off in the business as marketing  

expenses so that's a really big secret. So, let  me give you one last secret on how to do this. So  

another thing that we did to get money into our  crowd fund is we would do weekly webinars where  

we were explaining the opportunity to people  and we would just meet on a Zoom meeting, tell  

people I had the same presentation again, that I  would run over and over telling people what

the company was about, how much we were needing,  tell them how to do it and again raising money  

and doing this every single week. It worked  and it raised hundreds of thousands of dollars  

every single month in combination with the  video from the influencer, celebrity. Now if
