I'd like to introduce Gregg Epstein from Perry聽 Videx LLC. Uou shared with me a document that聽聽

your company put out called "the 8 Myths of Used聽 Process Equipment," and myth number one states聽聽

that there's no guarantee that used equipment will聽 work. In Blackbird's world, in the auction world,聽聽
[19]
we sell everything as-is where-is, that's what聽 we have inspection for. However, there's almost聽聽
[25]
an implied sense when a piece of equipment is in聽 line, and it was in a factory, and it was working,聽聽
[32]
and the plumbing's connected to it, and they were聽 making widgets when the plant closed... there's a聽聽
[37]
certain amount of faith that buyers put in that聽 knowledge when they buy at an auction sale, and聽聽
[44]
clearly if we know that the piece of equipment聽 was not functioning properly or needed a new聽聽
[49]
spindle or it was broken or needs a new control聽 panel, we'll disclose that. Sometimes we don't聽聽
[54]
know. Sometimes we're handed the keys and聽 literally have no one left in the company that's聽聽
[58]
being liquidated to help us answer those kinds聽 of questions. So, your company and our company聽聽
[63]
we partner transactions together we lean on Perry聽 as an expert to give us guidance for appraisals聽聽

sometimes, and sometimes you're buyers at our聽 auctions, so you buy something as-is there's no聽聽
[74]
guarantee that used equipment will work. And it's聽 different from your perspective as an equipment聽聽

dealer, so tell us what happens when you buy聽 something in my auction, what do you do with it?聽聽

What happens behind the curtains? So, you're聽 right and I may be a little different than a聽聽
[92]
typical buyer, because we have the ability if聽 something's not working to fix it ourselves,聽聽

but and that almost never happens, when you talk聽 about the sense that the equipment was in line,聽聽
[104]
and working when the plant shut down that the聽 equipment's going to work for us for me as a聽聽
[109]
buyer. And for us as a machinery dealer, we have聽 the added protection though that if there is an聽聽
[116]
issue or even if there's not an issue, even if聽 we just want to recondition the piece, and clean聽聽
[121]
it up and test run it, we have that ability so our聽 world is a little different than the auction world聽聽

in that our implied warranty and sometimes a聽 customer will buy an explicit warranty from us,聽聽
[136]
when they buy equipment that's non-auction world聽 from a dealer, in the sense is that we're going聽聽
[141]
to stand behind everything that we sell. My聽 experience with auctioneers, the credible聽聽
[145]
auctioneers, that if there's a problem that聽 no one anticipated, it's in the auctioneers聽聽
[150]
also best interest to try and get it resolved.聽 There are several ways to mitigate the risk,聽聽
[156]
one of the ways is to inspect the聽 equipment before an auction sale,聽聽
[160]
another way is to have, if there are really聽 critical tolerances on a piece of equipment,聽聽
[165]
to hire a testing service prior to the auction聽 sale, have them go in, to the extent that they聽聽
[169]
have access to the equipment. Remember no one's聽 warranty is that this piece of equipment will do聽聽
[175]
what you want it to do in your process, okay? That聽 which is implied is that this piece of equipment聽聽
[181]
will work mechanically. [Right.] Not that聽 your reaction will take place in this reactor,聽聽
[186]
that's up to you and your chemists. [Exactly,聽 right, and I think they call that merchantability,聽聽

for a particular purpose within the warranty聽 world, and you know all the king's horses can聽聽
[196]
can help put Humpty Dumpty back together, but聽 if Humpty Dumpty is really broken, and if what聽聽
[200]
they're trying to accomplish can't work, then聽 it has nothing to do with the equipment.] Right.聽聽

[Okay.] That's really on the buyer to be educated聽 in that respect. What's a little different for聽聽
[209]
us is that we have more flexibility as a dealer聽 perhaps than an auctioneer would in terms of being聽聽
[214]
able to take a piece back because somebody made a聽 mistake, and either give an equipment credit, or聽聽
[220]
it's a good enough customer just giving聽 his money back because he'll come back. In聽聽
[224]
blackbird's world we deal in a very compressed聽 timeline, we need we need to get in get out,聽聽
[229]
clear the floor move this stuff out, because our聽 objective is different, and in the dealer world,聽聽
[233]
you do have the benefit of more time to take the聽 time to recondition or clean, or make adjustments,聽聽
[240]
or put a different sweep blade on the聽 bottom of that piece that you're selling,聽聽
[243]
to meet the customer's needs. But in an auction聽 sale it's as-is where-is and it's just the way聽聽
[250]
it's sitting on the floor. So to the extent that聽 your myths state that there's no guarantee that聽聽
[257]
used equipment will work, is it serviceable聽 in the event that the mixer motor is frozen,聽聽
[264]
are these things serviceable to people that聽 buy them at auctions? Can you help with those?聽聽

Yeah. Absolutely, they're serviceable. If a piece聽 of equipment is in such disrepair that it's not聽聽
[274]
serviceable, that's going to be pretty obvious,聽 which is why either inspection by photograph聽聽
[280]
at the bare minimum, or if possible inspection聽 person for an auction scenario is so important,聽聽
[285]
because you can pretty much see what most of聽 the time the problem is. Again our world is聽聽
[289]
different in that we have the flexibility to聽 take it back where the auction works not but,聽聽
[295]
they've had very very remarkably few situations,聽 especially in the auctions I've been involved聽聽
[302]
with, where we've had an issue with a client聽 claiming that "hey, I didn't know this wasn't聽聽
[307]
going to work," but you have more experience聽 than I do in that respect, Dave, but I've had聽聽
[312]
very little pushback like that over the years for聽 us. So the disclaimer "buyer beware" and "as-is,聽聽
[319]
where-is" are important disclaimers in the聽 auctioneers world, and when a dealer purchases聽聽
[326]
something from us, and has the opportunity聽 to go over it, you can offer that equipment聽聽
[331]
with some kind of a warranty or guarantee after聽 the fact, and there's consideration for that.聽聽
[336]
And depending on the equipment obviously depends聽 on what that kind of markup is going to be,聽聽
[340]
but the overreaching message I think that we're聽 getting to here is that people that are looking to聽聽
[347]
buy a piece of used equipment are generally in the聽 industry within the equipment space that they're聽聽
[353]
looking, and it will be evident from an inspection聽 if things have been properly maintained. It will聽聽
[360]
be evident from the the condition of the rest of聽 the facility how that particular place ran their聽聽
[366]
operation. So you can give a little bit of leeway聽 and have some comfort in knowing that as a buyer,聽聽
[375]
trust in what you see, ask really important, you聽 know, ask really learned questions, and from an聽聽
[382]
auctioneer's perspective the last thing I'd like聽 to leave is that, take advantage of the inspection聽聽
[387]
period and go in look at these things and if it's聽 a complicated purchase, to your comment, please聽聽
[392]
get an expert in there to look at the equipment聽 before you make a purchase. Yes so I think all聽聽
[398]
of the above is how you can buy confidently聽 in an auction sale. My friend, Gregg Epstein,聽聽
