today we're going to talk about the

issue of

car dealerships and when they try and
[4]
charge fees that are not allowed
[7]
under the contract
[9]
so my name is dan whitney i'm an
[10]
attorney i handle a lot of car cases
[12]
involving suing car dealerships and
[14]
finance companies on the never ending
[15]
variety of scams and frauds that they'll
[17]
try to do to anybody
[19]
but today
[20]
i've had an arbitration representing a
[23]
consumer who bought a car
[25]
and the dealership tried to charge him
[28]
fees and charges
[30]
that it was not allowed to
[32]
so here's what happened
[34]
um
[35]
a a man goes to buy a car he looks at it
[38]
likes it
[40]
ends up buying it puts 5500 down and
[44]
signs a
[47]
signs of finance contract like
[49]
many of us do
[51]
when we buy a car because 20 or 30 grand
[53]
is a lot to get together and put down
[55]
so he signs a finance contract
[57]
now
[58]
uh about 35 days go by and the car has
[62]
problems and he decides that he does not
[66]
want it anymore and he calls the lender
[68]
and then he calls the dealership and
[70]
they're freaking out because the first
[71]
payment has not been made which means
[73]
the lender is going to make them buy the
[75]
car back under the deal agreement
[77]
so
[79]
what happens but he taught he's talking
[80]
to the dealer and the dealer says
[82]
you know you need to bring that car back
[84]
or we're going to repo it from you so he
[86]
thinks
[87]
all right i'll bring the car back i'll
[88]
get my down payment back and you know
[91]
that'll take care of it
[92]
so he brings the car back the problem is
[95]
once he brings the car back the dealer
[97]
says guess what now you have nothing you
[99]
don't have the car and we're keeping
[101]
your down payment he says why are you
[102]
keeping my down payment
[104]
they say because you've defaulted on the
[106]
loan and we're keeping your down payment
[108]
in other words it's a default charge of
[111]
course
[112]
that's not what he expected he got upset
[114]
they refused to give it back and
[115]
eventually he obtained counsel
[118]
so
[119]
in reviewing the case we end up filing a
[122]
lawsuit and we say to them you know
[124]
what's your basis for not returning this
[127]
gentleman's down payment after you got
[129]
your car back
[130]
and they said
[132]
they said we have a sign on the wall
[135]
we have a sign on the wall that sets
[138]
forth all the fees we can charge when a
[141]
loan is canceled
[142]
which
[143]
they're saying is what happened here the
[145]
loan was cancelled when he brought it
[146]
back and they bought it back so it
[147]
wasn't really cancelled it was a buyback
[150]
but they're saying we have a sign on the
[152]
wall
[153]
that says
[154]
these are the cancellation fees we can
[157]
charge and when he was in the dealership
[159]
he saw the sign on the wall
[162]
and because he saw the sign with these
[164]
charges on it we're going to hold him
[166]
accountable to these charges
[168]
now
[170]
they also gave him a piece of paper when
[172]
he made his
[174]
down payment and the piece of paper said
[178]
this down payment is non-refundable
[182]
and that's one of the other reasons they
[184]
relied
[185]
um on and decided to keep his down
[187]
payment and not give it back
[189]
but here's the problem with all that
[192]
so there's something called an
[194]
integration clause and you might say
[196]
well why does anybody care about what an
[198]
integration clause is it sounds like a
[199]
racial thing it has nothing to do with
[202]
race i mean if anywhere you're not going
[204]
to get discriminated against it's at a
[206]
cardio shift they're going to cheat you
[207]
whether you're white
[208]
black brown any other color anybody
[211]
should identify with
[213]
if you want to feel not discriminated
[214]
just go to a cardio ship don't cheat
[216]
anybody but
[217]
the integration clause in the contract
[221]
simply refers to
[223]
that the entire contract is contained
[226]
within the contract itself there's no
[229]
other documents
[231]
other than the contract that was signed
[233]
by both parties that includes the
[234]
agreement in other words this contract
[237]
is the only contract that
[241]
is going to control the terms of the
[243]
deal so importantly in all finance
[245]
contracts pretty much every contract
[247]
i've seen there's something called
[249]
there's something called the integration
[251]
clause
[252]
and what the integration clause is
[255]
is a clause that simply says
[260]
entire agreement
[262]
you and our and your and our entire
[264]
agreement is contained in this contract
[267]
there are no unwritten agreements
[269]
regarding this contract
[271]
any change to this contract must be in
[273]
writing and signed by you and us
[276]
now
[277]
so the evaluation and the assessment of
[280]
this case
[282]
significantly turned on what are their
[284]
remedies
[285]
under this contract for a default
[288]
when
[289]
the first payment is not made and the
[291]
customer ends up giving the car back
[294]
so we simply turn to that provision of
[297]
the contract default you'll be in
[299]
default if you
[301]
fail to perform any obligation such as
[303]
making a payment
[305]
and then there's a remedy section
[307]
and the remedies include we can ask you
[309]
to bring the car back which is what
[312]
they did under threat of repossession
[314]
but they brought it back and there's a
[316]
list of other remedies simply meaning
[318]
what the dealership is allowed to do
[320]
under the contract if there's a default
[322]
so he said okay
[324]
what i'm what i'm seeing here is you
[326]
you've kept his down payment
[327]
and you've told him that's
[328]
non-refundable
[330]
and you've charged him a total of three
[333]
thousand four hundred and fifty three
[334]
dollars in other fees that you say
[337]
he has incurred including
[340]
39 dollars a day for the days he had it
[343]
49 cents a mile for every mile he drove
[345]
it a restocking fee of 200 a 500 dollar
[350]
dealer processing fee which by the way
[352]
was already charged when he bought the
[354]
car
[355]
and so the question is
[358]
really what it boils down to are dealers
[360]
allowed to charge customers fees
[364]
based on signs
[367]
they
[368]
i don't want to show because it's got
[369]
the it's got the dealer's name on it but
[373]
based on signs that they hang on the
[375]
wall
[376]
there's no written agreement to it but
[378]
it just hangs on the wall and they can
[380]
say the customer customer you saw this
[382]
because you saw it you have to pay these
[384]
fees even though it's not included in
[387]
the language of the contract and the
[388]
short answer the short and sweet answer
[391]
is no
[392]
if the if the contract that you've
[395]
signed and it most likely is going to be
[396]
if it's a finance contract
[398]
if it's fully integrated that contract
[400]
contains all of the
[403]
fees charges whatever else that the
[406]
dealership is going to be allowed to
[408]
charge you now
[409]
what it may say is
[411]
um you know in your particular state the
[414]
dealer has opted into you know the
[417]
closed-end credit grantor provisions and
[419]
certain fees are allowed under that
[421]
provision well that's fine you just have
[423]
to look up that provision and see what
[424]
they're allowed to do
[426]
but the point is
[427]
a dealership
[430]
in my experience cannot hang
[433]
a list of fees on the wall
[436]
and then force a customer
[438]
to pay those fees and withhold their
[440]
down payment because of those fees or
[443]
because of something that writes on a
[445]
receipt
[447]
that is not then incorporated into the
[450]
final contract
[451]
so
[452]
to do the analysis you just have to read
[454]
your contract carefully if you have a
[455]
question of course you probably want to
[456]
seek somebody
[458]
out who's got experience looking at this
[460]
but the bottom line is if if there's
[463]
charges hanging on the wall in a car
[464]
dealership and they're trying to force
[466]
you to pay or withhold your money
[467]
because of that there's a very good
[469]
chance um they're just trying to cheat
[471]
you and they're not going to be allowed
[473]
to do it
[474]
i mean basically and the example that i
[476]
use to illustrate this to the judge in
[478]
the case today
[480]
was
[481]
what that dealership is trying to do
[484]
is essentially the same thing
[486]
as if i were to say which i said to the
[488]
judge
[490]
you know take a look at this your honor
[491]
i know that you know how to read you
[492]
probably can read pretty well and i've
[495]
got bad news for you
[497]
because the sign says by reading this i
[499]
agree to pay 3453.66
[504]
to the owner of the sign
[505]
that's essentially what that is what the
[507]
dealership is saying to the client now
[509]
of course this is preposterous if
[511]
everybody who read this
[513]
sign had to pay
[515]
uh considering this is going to go on
[516]
youtube you know
[518]
i'd have millions of dollars and
[520]
everybody else will be out but of course
[522]
that's preposterous and that's not the
[523]
way it works in the world what happens
[525]
is when parties sign a contract
[527]
those terms apply
[530]
so

as to what fees the dealer is able to
