There鈥檚 a few things that鈥檚 really important

So, let鈥檚 get into the video

First and foremost when you have your contract in front of you
[37]
We usually want to look at the term
[39]
In order to determine termination
[42]
Okay, so, if we鈥檙e talking about

Termination Provisions
[44]
Basically we are talking about the way
[45]
That you get out of the contract
[47]
But, in order to know how to get out of the contract
[49]
You have to know
[50]
How long it goes for
[51]
So, we usually will look at a section called
[53]
Term
[54]
So, it will be your term provision
[56]
And so, let鈥檚 say that this is a managing contract
[58]
And, it鈥檚 for one year
[59]
So, we know the contract if for
[61]
One year
[62]
Then the second step is that
[63]
You鈥檙e going to look to see if there is
[65]
Anything called a renewal
[66]
If there鈥檚 a renewal in the contract
[68]
That means that it can be extended
[70]
And, sometimes there will be language such as
[72]
It will automatically renew if someone doesn鈥檛 terminate
[76]
So, this is where you and making sure you calendar
[78]
Becomes really important
[80]
So you make a note on your calendar
[82]
If you need to send notice of termination
[85]
And then three
[86]
Look at the actually provision that says
[89]
Termination
[89]
So, when we鈥檙e looking at the provision
that says termination
[92]
There is usually two different ways
[93]
That a contract can end
[95]
Or a way that you can get out of it
[97]
The first way that you can get out of the contract
[99]
Is usually by Natural Expiration
[102]
Natural Expiration means
[103]
You looked at how long it was
[105]
And so, in our management contract example
[107]
It was only one year
[108]
So now, after one year
[110]
If there is no additional renewals
[111]
Or anything else that happens
[113]
It just naturally expires
[114]
And that鈥檚 how you get out of the contract
[116]
Another way is early termination
[119]
This is something that you specifically need to
[121]
Make sure is in the contract
[123]
And so, let鈥檚 say someone does something
[125]
They don鈥檛 fulfill their obligations
[127]
And so it gives the other party
[129]
Meaning you
[130]
The right to give written notice via an e-mail
[133]
Or something like that
[134]
Just to say
[135]
I no longer want to continue with this contract
[137]
You鈥檙e in breech
[138]
And so that is the early termination
[140]
And, the reason why that becomes so important is that, you know
[143]
Especially with new collaborators that we work with
[146]
Sometimes you don鈥檛 really know
[148]
How the relationship is going to be
[149]
Until you鈥檙e knee deep in it
[150]
And, sometimes things go really well
[152]
And, sometimes they don鈥檛
[154]
So, if things aren鈥檛 going well
[155]
And you have no way of getting out of this contract
[158]
You鈥檙e kind of stuck
[159]
We don鈥檛 want you to be stuck
[161]
So the way you do your due diligence is that

At the beginning of the relationship
[164]
Before you sign the contract
[166]
You look at that termination provision
[169]
You determine how long it鈥檚 gonna go for
[171]
And then you determine
[172]
How do I get out of the contract

Now, my recommendation is that

Remember that contracts are always negotiable
[180]
So even if you鈥檙e looking at the contract
[182]
Sometimes there won鈥檛 even be a termination provision
[184]
In the contract
[185]
At which point you have to respond
[187]
You have to say
[188]
There needs to be a standard termination provision
[191]
And then you and the other party
[192]
Can discuss what that looks like
[194]
Is it only natural expiration of the contract?
[197]
Or, is it that you are going to negotiate
ways
[200]
That you can get out of the contract early
[202]
If things start going a little sideways
[204]
Now, the reason why I kept this pretty general as far as
[207]
I鈥檓 not talking about any specific music
contract
[209]
Because
[209]
Termination provisions should be in almost every single
[212]
Contract that you guys sign throughout your careers
[215]
And so, if it just so happens
[217]
That you get a contract from someone
[219]
And you鈥檙e looking at it
[220]
And you can鈥檛 seem to find a termination
provision
[222]
That鈥檚 when you respond and you say, there needs to be
[225]
A standard termination provision
[228]
And so both parties understand
[230]
How do you get out of the relationship
[232]
If for any reason someone needs to terminate early
[235]
I think it鈥檚 great
[236]
And it鈥檚 so important that you guys take
the time
[237]
To understand these contracts yourselves
[240]
Especially the standard provisions
[242]
That you should be seeing in all contacts
[244]
That you guys sign
[245]
And of course
[245]
Take your contracts to entertainment attorneys
[247]
Have them reviewed
[248]
And so everything is just iron clad

And you are protected
