All right, so when you're
forming an LLC or a corporation,

or if you're registering to do business
[140]
in a different state,

you're gonna need at least two addresses
[145]
to use on the forms
that you're gonna submit

to the Secretary of State's office.

The first is gonna be the
principal office address.

This might be called the
primary office address

or some other term.

In a nutshell, you're
gonna need an address

for your business.

The second is going to be
the registered agent address.

If you have an actual physical
office or a storefront,

then this part's pretty easy.

You can use that address as
the principal office address

and the registered agent address
[175]
if you're gonna be acting as
your own registered agent.

But what if you're like many
of us who work from home?
[182]
The business address and
the registered agent address
[185]
are gonna be publicly available.
[187]
This is public information.
[189]
If somebody looks up your LLC's info
[192]
on the Secretary of State,
[193]
they're gonna see your business address
[195]
and your registered agent address,
[197]
which, if that's your home address,
[199]
now they're seeing your home address.

I don't know about you guys,
[202]
but I wouldn't really want my home address
[204]
to be available for anybody
and everybody to find.
[208]
And in some areas,
Homeowners Association laws
[211]
or rental agreements might prohibit you
[214]
from using your home
address to run a business.
[217]
Or what if you're mobile?
[219]
What if you're traveling
around the country in an RV
[222]
or live in that van life,
[225]
or whatever it is the
kids are doing these days?
[227]
So, what do you do if you either can't
[230]
or just don't want to
use your home address
[233]
when you're setting up your business?
[235]
A lot of people jump
straight to getting a PO Box,
[238]
but that's not always
the right thing to do.
[241]
You can certainly use a PO
Box as the mailing address
[245]
for the business or the registered agent.
[247]
That's perfectly fine.
[249]
But many states, Colorado included,
[252]
require that the principal office address
[254]
be an actual physical street address.
[258]
A PO Box isn't gonna cut it.
[260]
Sure, it's also an option to
get a private mailbox address
[264]
with a UPS store or some
other mailing service.
[268]
At least, here, we're
not getting a PO Box.
[271]
It's an actual physical address.
[273]
But if someone goes online
and looks up that address,
[277]
they're gonna see, "Wait,
this is a UPS store."
[280]
That could reflect negatively
on your business's image.
[286]
And I don't necessarily buy into it,
[288]
but a lot of people
[289]
feel like it makes you
look less professional
[292]
if you have a PO Box for your business.
[295]
And every state requires
[298]
that the registered agent
[299]
have an actual physical
street address in that state.
[304]
And there should be somebody
present at that address;
[308]
for the most part, every day
during normal business hours
[311]
and the registered agent needs to consent
[314]
to being the registered agent.
[316]
So, even if the private mailbox address
[319]
is a physical street address,
[322]
I don't know that the clerks at that store
[324]
have necessarily consented to acting
[327]
as the registered agent for your company.
[329]
Real quick, for those of
you who don't already know.
[332]
A registered agent is the person or entity
[335]
who is designated to accept a process
[339]
on behalf of an LLC or a corporation.
[342]
So, if the LLC is sued,
[345]
the person doing the suing
[346]
is going to serve the LLC
with a court paperwork
[351]
and the registered agent
[352]
is the person designated to
accept that service of process
[356]
on behalf of the company.
[357]
So, if you use a PO Box as
the registered agent address,
[362]
not only are you not complying
with the legal requirements,
[366]
you're also putting yourself
[368]
and your business at a lot of risk.
[370]
Because if somebody serves your company
[373]
with court paperwork at
an inappropriate address
[376]
and you don't get notification of it,
[379]
you're not aware of it,
[380]
and you don't respond to that paperwork
[382]
in the timeframe that you're supposed to,

you could be at risk for
getting a default judgment
[387]
entered against you.

So, what other options are there
[390]
if we don't wanna use home address,
[392]
if we shouldn't use a PO
Box or a private mailbox,
[396]
and if we want to have
[398]
this kind of professional-looking address?

In these cases, this is when I recommend

using a virtual office address.

This gives you an actual physical address,
[408]
physical street address
[410]
that you can use for
your business address.

You can use it on your
formation paperwork,

you can use it in your marketing
and advertising materials;

an actual credible business address.

It helps your business look
a little bit more legit

and credible.

It can help in establishing credit

if you're trying to get funding
or a loan for your business.

And, of course, most importantly,

it keeps you in compliance
with legal requirements.

it, but not all of them.

Even if you do have your own

mind using your home address,

I think it's always better to use

That way, in case you're
not home that day,

or you're not in the office that day,

or if you have a client in the office,

or you have friends over at your house,

you don't run the risk of
