<b> A settlement conference is simply a meeting between</b>

<b> you and the FDA's Center for Tobacco Products to</b>

<b> discuss your case.</b>

<b> Settlement discussions are an efficient method for</b>
[172]
<b> resolving your case without proceeding to a</b>
[174]
<b> hearing.</b>

<b> You can resolve your CMP or NTSO case through</b>
[179]
<b> settlement, where you and FDA's Center for Tobacco</b>
[183]
<b> Products agree to a reduced penalty amount or</b>
[186]
<b> NTSO period.</b>
[188]
<b> Settlement can occur at any time after you have</b>
[191]
<b> received your Complaint, and before a final</b>
[194]
<b> decision has been reached in your case.</b>
[197]
<b> If settlement cannot be reached, your case will</b>
[200]
<b> proceed through the hearing process.</b>

<b> We will discuss the hearing process in detail</b>

<b> in the fifth webinar.</b>

<b> A settlement conference takes place by telephone</b>

<b> only.</b>

<b> Settlement conferences are not held in person.</b>

<b> To settle your case, you must contact FDA's Center</b>

<b> for Tobacco Products and arrange for a settlement</b>

<b> conference.</b>

<b> The purpose of a settlement conference is</b>
[224]
<b> for both sides to discuss the appropriateness of the</b>
[227]
<b> penalty sought.</b>
[228]
<b> These settlement conferences are typically</b>
[231]
<b> informal.</b>
[232]
<b> If you are represented by an attorney, FDA's Center</b>
[235]
<b> for Tobacco Products will communicate with you</b>
[237]
<b> through your attorney, so your attorney should</b>
[240]
<b> attend the settlement conference.</b>
[243]
<b> To request a settlement conference, you can</b>
[245]
<b> contact FDA's Center for Tobacco Products by phone</b>
[249]
<b> or email.</b>
[250]
<b> The contact information is listed on the slide.</b>

<b> Contact information and additional details on how</b>
[256]
<b> to resolve your case outside of a hearing by</b>
[259]
<b> scheduling a settlement conference are outlined in</b>
[263]
<b> the cover letter that accompanies the Complaint</b>
[266]
<b> sent to you by the FDA's Center for Tobacco</b>
[268]
<b> Products.</b>

<b> When you contact the FDA's Center for Tobacco</b>
[273]
<b> Products, please provide your name, your contact</b>
[277]
<b> information, and the FDA docket number.</b>
[280]
<b> The FDA docket number can be found on the cover</b>
[284]
<b> letter that accompanies your Complaint.</b>
[287]
<b> Once you provide FDA's Center for Tobacco</b>
[290]
<b> Products with your contact information and FDA docket</b>
[293]
<b> number, we will contact you to set up a mutually</b>
[296]
<b> agreeable date and time to discuss your case.</b>
[301]
<b> Who participates in the settlement conference?</b>
[304]
<b> - You, the retailer; - Your attorney, if you have</b>
[308]
<b> one; - FDA's Center for Tobacco Products</b>
[312]
<b> representatives.</b>
[314]
<b> Now let's turn our attention to what is</b>
[316]
<b> discussed during the settlement conference.</b>
[319]
<b> During the settlement conference, you should be</b>
[322]
<b> prepared to discuss any specific facts or</b>
[325]
<b> circumstances that you feel should reduce your</b>
[328]
<b> CMP amount or NTSO period.</b>
[331]
<b> These are called mitigating factors.</b>
[334]
<b> The following are some examples of information or</b>
[337]
<b> facts that might be considered during</b>
[339]
<b> settlement discussions.</b>
[341]
<b> These factors are also the same factors that the</b>
[344]
<b> Administrative Law Judge, or ALJ, would be required</b>
[348]
<b> to consider at the hearing.</b>
[351]
<b> The ability to pay the penalty.</b>
[353]
<b> This may include, but is not limited to,</b>
[356]
<b> information related to income, assets, and</b>
[360]
<b> information about revenue from tobacco sales.</b>
[364]
<b> The effect the proposed penalty has on the retail</b>
[366]
<b> establishment's ability to continue to do business.</b>
[371]
<b> The history of prior violations at the</b>
[373]
<b> establishment.</b>
[376]
<b> The degree of culpability.</b>
[377]
<b> As the owner of the retail establishment, you are</b>
[380]
<b> responsible for the actions of your employees.</b>
[385]
<b> Any fine or penalty you already have paid to your</b>
[388]
<b> State for the same violation.</b>
[391]
<b> Any other unique circumstances that you</b>
[394]
<b> believe should lower the penalty amount or NTSO</b>
[397]
<b> duration.</b>
[399]
<b> We encourage you to inform FDA's Center for Tobacco</b>
[402]
<b> Products of these facts during settlement</b>
[405]
<b> conferences, as they may help FDA's Center for</b>
[408]
<b> Tobacco Products in determining an appropriate</b>
[411]
<b> settlement for the case.</b>
[413]
<b> Additionally, if you have taken steps to prevent</b>
[416]
<b> future sales of tobacco products to minors, it is</b>
[419]
<b> very important that you inform FDA's Center for</b>
[422]
<b> Tobacco Products of such actions.</b>
[426]
<b> We will now look at some examples of mitigating</b>
[429]
<b> factors that have helped to reduce penalties sought</b>
[432]
<b> during settlement conferences.</b>
[435]
<b> - Establishing disciplinary sanctions for</b>
[438]
<b> employees who sell tobacco products to minors or</b>
[441]
<b> violate other tobacco regulations.</b>
[444]
<b> - Additional employee training regarding sale of</b>
[447]
<b> tobacco products, including preventing sales</b>
[449]
<b> to minors.</b>
[451]
<b> - Requiring employees to verify age by way of</b>
[454]
<b> photographic identification using an</b>
[456]
<b> electronic scanning device.</b>
[459]
<b> - Or, enrollment in voluntary compliance check</b>
[462]
<b> programs, also known as secret shopper programs.</b>
[466]
<b> This list of examples is not exhaustive.</b>
[469]
<b> You may have implemented other policies or changes</b>
[472]
<b> that help prevent sales of tobacco products to</b>
[475]
<b> minors.</b>
[476]
<b> If that is the case, you should inform FDA's Center</b>
[479]
<b> for Tobacco Products of those measures.</b>
[483]
<b> FDA's Center for Tobacco Products may request</b>
[486]
<b> documents to support any facts or circumstances</b>
[489]
<b> that help reduce a penalty during settlement</b>
[491]
<b> discussions.</b>
[493]
<b> Examples of such documents include: - Financial</b>
[497]
<b> documents related to tobacco sales and revenue,</b>
[500]
<b> showing how much of your total revenue is made up</b>
[504]
<b> of tobacco sales.</b>
[506]
<b> - Documents related to financial hardship that</b>
[508]
<b> you may be having.</b>
[510]
<b> - Documentation of any actions you have taken to</b>
[513]
<b> ensure compliance after receiving a Warning</b>
[516]
<b> Letter, CMP, or NTSO in the past.</b>
[520]
<b> This list of examples is not exhaustive.</b>
[523]
<b> FDA's Center for Tobacco Products may request, and</b>
[526]
<b> you may propose, other documents or evidence that</b>
[529]
<b> could help in settlement discussions.</b>
[532]
<b> Now let's discuss what happens if you and the</b>
[534]
<b> FDA's Center for Tobacco Products agree to settle</b>
[538]
<b> your case.</b>
[539]
<b> The next few slides will discuss the settlement</b>
[541]
<b> agreement separately for CMPs and NTSOs, because</b>
[545]
<b> the process is slightly different for each.</b>
[548]
<b> Let's start with CMPs.</b>
[551]
<b> If you reach a settlement with FDA's Center for</b>
[553]
<b> Tobacco Products for a CMP Complaint, you will</b>
[557]
<b> receive a letter summarizing the settlement</b>
[559]
<b> discussions.</b>
[560]
<b> Your letter will include: - the agreed upon reduced</b>
[564]
<b> penalty amount, - the date that the payment is due,</b>
[568]
<b> - and detailed instructions on how to</b>
[570]
<b> acknowledge the violations in the CMP Complaint and</b>
[574]
<b> pay the agreed upon amount.</b>
[576]
<b> Remember, all CMPs should be paid through the online</b>
[579]
<b> payment portal unless alternate arrangements</b>
[582]
<b> were made during the settlement conference.</b>
[585]

<b> Once you acknowledge the violations and FDA</b>
[601]
<b> receives payment, we will notify the ALJ by</b>
[604]
<b> submitting a document called the &quot;Notice of</b>
[607]
<b> Settlement Agreement,&quot; or NSA.</b>
[609]
<b> The NSA will state that your case was resolved</b>
[613]
<b> through the settlement agreement, you have made</b>
[615]
<b> sufficient payment, you acknowledged that the</b>
[618]
<b> violations outlined in the CMP Complaint occurred,</b>
[622]
<b> and requests that the ALJ close the case.</b>
[626]
<b> The FDA's Center for Tobacco Products will send</b>
[629]
<b> you a paper copy of the NSA when it is filed with</b>
[632]
<b> the Departmental Appeals Board, or DAB.</b>
[634]
<b> Now let's discuss the Settlement Agreement for</b>
[638]
<b> an NTSO complaint.</b>
[641]
<b> If you reach an agreement with the FDA's Center for</b>
[644]
<b> Tobacco Products for an NTSO Complaint, FDA's</b>
[648]
<b> Center for Tobacco Products will send you the</b>
[650]
<b> Settlement Agreement for signature The Settlement</b>
[653]
<b> Agreement will require acknowledgment of the</b>
[656]
<b> violations alleged in the Complaint, and will</b>
[659]
<b> contain all the agreed-upon terms of</b>
[661]
<b> settlement, including the agreed-upon NTSO duration</b>
[666]
<b> and the start and end dates for the NTSO.</b>
[669]
<b> The Settlement Agreement will also specify a</b>
[672]
<b> penalty for failing to meet the terms of the</b>
[674]
<b> agreement.</b>
[675]
<b> The Settlement Agreement must be signed by the</b>
[677]
<b> retailer and returned to FDA's Center for Tobacco</b>
[680]
<b> Products by the requested due date.</b>
[684]
<b> Failure to do so may void the agreement.</b>
[687]
<b> Once FDA's Center for Tobacco Products receives</b>
[690]
<b> the signed Settlement Agreement from you, the</b>
[693]
<b> FDA assigned attorney will then sign the Settlement</b>
[696]
<b> Agreement.</b>
[698]
<b> This signed Settlement Agreement with both</b>
[700]
<b> signatures notifies the court that you and the</b>
[703]
<b> FDA's Center for Tobacco Products have reached a</b>
[706]
<b> settlement in your case.</b>
[708]
<b> FDA's Center for Tobacco Products will file the</b>
[711]
<b> signed Settlement Agreement with the DAB and</b>
[714]
<b> will mail you a copy of the Settlement Agreement</b>
[716]
<b> filed with DAB.</b>
[717]
<b> As previously discussed in this webinar, settlement</b>
[720]
<b> can occur at any time after you have received a</b>
[724]
<b> Complaint, and before a final decision has been</b>
[728]
<b> reached for your case.</b>
[730]
<b> However, the settlement process is separate from</b>
[733]
<b> the hearing process.</b>
[734]
<b> Your participation in the settlement process does</b>
[737]
<b> not delay any deadlines set by the ALJ.</b>
[740]
<b> You must meet all of the ALJ-set deadlines and</b>
[745]
<b> requirements associated with your case until the</b>
[748]
<b> Notice of Settlement Agreement is filed and the</b>
[751]
<b> ALJ officially closes your case.</b>
[755]
<b> This includes the requirement that you</b>
[757]
<b> submit an Answer within 30 days after receiving the</b>
[760]
<b> Complaint.</b>
