today we're going to focus more on the

actual nuts and bolts of the ipo itself
[62]
including when it will start to trade
[64]
the valuation the pricing of the ipo
[66]
shares and who qualifies to possibly be
[68]
able to get those shares at the ipo
[70]
price

and for those of you who want to buy
[72]
rivien stock but are new to investing in
[74]
ipos i'll give you some important
[76]
information to know about ipos in
[78]
general and apply to rivien
[80]
as we get started today there is one
[82]
thing i do want to ask you guys from the
[84]
last video because i didn't get many
[85]
responses and because i'm really curious
[87]
about this
[88]
and that is just looking at the vehicles
[91]
not the stock or the company
[93]
which truck do you personally prefer the
[95]
look of the rivian r1t which is on the
[97]
top of the screen or the tesla cyber
[99]
truck
[100]
now i already told you that i prefer the
[102]
look of the rivian because i like the
[104]
traditional truck look it has but i also
[106]
know i'm older than a lot of you so i'm
[108]
interested in knowing which one you like
[110]
more
[110]
and maybe to learn if i'm starting to
[112]
become out of touch with what's in
[114]
so please take a second or two and let

me know which one you prefer in the

i think it might be interesting to see

which truck has more interest and if we

get enough responses maybe get an idea

which truck might end up having a higher

demand which would be a good thing to

know from an investing perspective

all right so as i record this rivian's

ipo hasn't happened yet but it will soon
[135]
very soon

in fact we expect the ipo to happen
[138]
later today which is as i record this

tuesday november 9th

now for those of you new to ipos this is
[145]
not where you can publicly trade for the
[147]
stock the actual ipo or initial public
[150]
offering is traditionally where
[151]
institutional investors and bankers buy
[153]
ipo shares at a set price determined by
[156]
the company as underwriters based on
[158]
demand
[159]
it's usually hard if not impossible for
[161]
retail investors like you and me to be
[163]
able to buy shares of a hot ipo like
[165]
rivian's at the ipo price but in this
[168]
case rivian did allow for some
[170]
allotments that could be available to
[171]
retail investors
[173]
so who among us could possibly qualify
[175]
to buy rivien ipo shares
[177]
well one way for someone to get some
[178]
shares is if you're a sofi customer a
[181]
company that i previously covered on the
[182]
channel when they were a spac
[184]
and if you were with me back then you
[186]
might remember i also shared the news of
[187]
them announcing their plans to begin
[189]
offering ipos in a video on the day that
[191]
the news broke earlier this year
[193]
in rivien's ipo prospectus they informed
[196]
us that they made an agreement to offer
[197]
up to point four percent of the ipo
[199]
shares of rivian stock to retail
[201]
investors through sofi
[203]
so you have to be a sofi customer and if
[205]
you are you potentially could get an
[207]
allotment of shares based on the process
[209]
of how they distribute them
[211]
since rivien's ipo includes 135 million
[214]
shares of stock that potentially gives
[216]
sofi up to about 540 000 shares to
[218]
distribute through its program
[220]
now another way to possibly get ipo
[222]
shares is through a directed share
[224]
program that is only eligible to u.s
[226]
customers who had standing pre-orders as
[229]
of september 30th 2021.
[231]
since their public filing didn't come
[233]
out until october there's no way that
[235]
the average person would have known this
[236]
beforehand
[238]
to meet that qualification the customer
[240]
would have had to either have an active
[242]
eligible pre-order or have accepted
[245]
delivery of the pre-ordered vehicle
[247]
they also offer this program to
[248]
directors officers or employees of the
[250]
company so if you work for the company
[252]
you probably already know this
[254]
so basically unless you're in one of
[256]
those situations you probably won't be
[258]
able to buy any shares until rivien
[260]
stock starts to trade on the public
[261]
market
[262]
but before i jump ahead to when that
[263]
happens let's talk about the latest
[265]
pricing range that rivien expects to
[267]
price their shares at the ipo
[269]
as of their third amended filing that
[271]
came out last friday
[273]
rivian is now expecting to price their
[274]
shares between 72 and 74 dollars which
[277]
is up over 22 percent higher from the 57
[280]
to 62 dollar range that i mentioned in
[281]
the analysis video last week
[284]
and keep in mind even this new price is
[286]
not a guarantee of where it will sell
[288]
but just an expected or predicted range
[290]
based on input from their underwriters
[292]
of the stock and the feedback that they
[294]
received during the road show which is
[296]
basically where the company provides
[297]
presentations and information to drum up
[300]
interest in potential investors
[302]
so the shares could actually sell
[304]
outside of that range either higher than
[306]
74 dollars or lower than 72 dollars and
[309]
depending on the interest they could
[311]
also decide to sell more or less shares
[313]
of their stock than what they plan to
[314]
sell which is called upsizing when they
[316]
sell more or downsizing when they sell
[319]
less which again can happen for any ipo
[322]
for the ribbian stock offering they are
[324]
expecting to sell as i just mentioned a
[326]
minute ago 135 million shares
[329]
with the amount of interest there has
[330]
been for a rivien ipo which again we've
[332]
already seen them up their expected
[334]
pricing by over 20 percent
[336]
i don't expect for them to downsize but
[338]
would not be surprised at all if the
[339]
upsides they're offering
[341]
when i get the details of the actual
[343]
pricing of ruby and ipo shares i'll put
[345]
out a community post to keep you updated

so definitely keep your notification

now regardless whatever price the shares

are actually sold at remember that the

price is just the rivian ipo price not
[368]
the price you necessarily will be able

to buy it for on the open market

talk about what a new range means for

rivien's valuation

if rivien stock hypothetically is priced
[380]
at the middle of the range at 73
[383]
which again we won't know until the
[384]
actual ipo
[385]
but if they do price to 73
[388]
the company will raise just under 9.9
[390]
billion dollars and be valued at just
[392]
under 70 billion dollars more than honda
[395]
and within striking distance of ford
[397]
who's now up to around 80 billion
[398]
dollars with their latest run in their
[400]
stock in gm who is around 86 billion
[402]
dollars
[403]
and they've delivered under 200 cars to
[405]
date wow
[407]
it just seems crazy doesn't it it's all
[409]
about the future with this company now
[411]
on the other hand they're way behind
[413]
tesla and they're now over one trillion
[415]
dollar market cap which also seems crazy
[418]
but investors love both of these hot ev
[420]
companies
[422]
all right so let's now talk about how
[423]
you can get your hands on the stock
[425]
now barring something crazy happening
[427]
the ipo will price today and then the
[429]
stock will be listed on the nasdaq under
[431]
the ticker symbol rivn and start
[434]
publicly trading tomorrow wednesday
[436]
november 10th
[438]
so where to put an order in for it
[440]
any brokerage or trading platform in the
[442]
u.s will allow you to buy rivien stock
[444]
now if you're not in the us which i know
[446]
many of you are not you would need to be
[448]
dealing with a brokerage that has access
[450]
to the us markets to be able to buy
[451]
shares
[452]
so if you don't have that access you're
[454]
probably out of luck
[456]
now a lot of you guys in the past have
[457]
asked me if you can trade new ipos on
[459]
robinhood so i'll tell you up front you
[462]
should be able to get some rivn shares
[464]
on the app
[465]
just keep in mind that the shares you'll
[467]
be able to get will be ones that start
[468]
to trade publicly so don't get confused
[471]
with their new ipo access program
[473]
that program is only for ipo shares
[476]
priced at the ipo price and rivian did
[478]
not announce an allotment to robin hood
[480]
only so if i received that as i had
[482]
mentioned earlier
[484]
so now let's talk about when we'll start
[486]
to trade
[487]
we already said it'll start to trade on
[488]
wednesday the 10th but keep in mind with
[491]
most ipos particularly the big ones they
[493]
don't start trading at the opening bell
[495]
at 9 30 eastern
[497]
they like to do it later where they can
[498]
get all the attention and promotion on
[500]
cnbc to themselves by doing it after the
[502]
market has already opened
[505]
up front i don't know exactly when the
[507]
stock will start to trade nobody at this
[508]
point could tell you that for sure
[510]
but most ipos don't start trading until
[512]
after 11 and sometimes not even up until
[515]
after 1 o'clock p.m although that's
[517]
usually before that
[519]
to help you guys out i plan to put out
[521]
another community post when ribbon stock
[523]
begins to trade so again have that
[524]
notification bell on so you can see it
[526]
as soon as i post it
[528]
and that reminds me of another thing for
[530]
some of you to be aware of for some
[532]
platforms the ticker symbol sometimes
[534]
isn't available until the day the stock
[536]
begins to trade and sometimes not even
[538]
first thing in the morning
[539]
so if you type in rivn and don't see the
[542]
stock showing up just keep in mind that
[544]
they might not have it set up in their
[546]
system
[547]
now if the stock is trading and you
[549]
still don't see it as being available
[550]
then your brokerage or trading platform
[552]
has a problem
[554]
now this gets us to the point where
[555]
rivien stock will begin to trade
[557]
and if you followed ipos in the past
[560]
you know that the ipo price is not where
[562]
the stock will open on the secondary
[564]
markets
[565]
sometimes not even close
[567]
remember snowflake
[569]
how about airbnb or doordash
[572]
all traded well above their ipo price
[574]
which isn't necessarily a good thing for
[576]
the actual companies themselves it
[578]
actually means that those companies left
[579]
money on the table
[581]
that's a big reason some companies have
[582]
decided to go the direct listing route
[585]
i don't want to get off track here but
[586]

so back to ribbian let's again assume
[595]
that the ipo is priced at the midpoint
[597]
of the range and sells at 73
[599]
once trading begins the day after the
[601]
ipo which is what typically happens the
[604]
shares will trade at the price someone
[605]
else is willing to buy them as well as
[607]
the price someone else is willing to
[608]
sell them at
[609]
so you might be surprised to see them
[611]
trade at a much higher number that's
[613]
just the way it goes for ipos and that's
[614]
why it's more difficult for retail
[616]
investors who don't get that ipo set
[618]
price
[619]
so knowing the uncertainty of how the
[621]
stock will trade if you're putting in an
[623]
order think about the top price per
[624]
share you're willing to pay for rivien
[626]
stock and then i would recommend you put
[628]
in a limit order at that price so you
[630]
cap at how much you spend per share
[632]
if you put in a straight market order
[634]
and the stock doubles out of the gate
[636]
which can happen you might find yourself
[638]
putting in a lot more money than you
[639]
ever expected now you never know and i
[642]
can't predict this but there is often a
[644]
pullback for a lot of these ipos either
[645]
later in the first day or sometime
[647]
during the first couple of weeks so you
[649]
could choose not to buy on day one if it
[651]
comes out priced a lot higher than you
[652]
expected whatever the case i would
[654]
suggest that you buy the stock based on
[656]
some type of plan that you come up with
[657]
beforehand and not just let your
[659]
emotions take over in the heat of the
[660]
trading frenzy that's usually a recipe
[662]
for overpaying
[665]
so for fun i'd love to hear from
