accredited investor.

One of the most frequently asked questions
[10]
that my team of financial
advisors and I get
[13]
is how to become an accredited investor?
[16]
Well, in this video,
[17]
I'm going to share with you the four ways
[19]
to become an accredited investor
[21]
in order to take advantage
[23]
of various passive
investment opportunities
[25]
like real estate syndications.
[28]
Now, a real estate syndication
[30]
is simply a pooling of capital
[32]
between a sponsoring company
[33]
and multiple investors
[35]
to invest in various forms of real estate.
[39]
It's considered to be
[40]
a type of private placement,
[42]
which allows the company to raise money
[45]
without having to go public.
[48]
Private placements are not registered
[50]
with the Securities and
Exchange Commission,
[52]
however, they are highly
regulated by the SEC,
[56]
just under different rules,
[57]
collectively known as Regulation D
[59]
or Reg D for short.
[62]
Now, these investments are very popular
[64]
for people or investors
[65]
who want the tax advantages
[67]
of real estate investing
[69]
without all the headaches
[71]
of being a hands-on landlord.

Also with limited financial exposure,
[76]
you may be able to invest in a syndication
[78]
with as little as $10,000
or $100,000 investment.

So here they are,

the four ways to qualify
as the natural person
[86]
or as a business entity.
[88]
Number one, you must have earned income
[91]
that exceeded $200,000 as a single person
[94]
or $300,000 as a married couple
[97]
in the two years prior
[99]
and reasonably expect the same
[101]
for the current year.
[102]
So if you're investing this year, 2021,
[105]
that would mean for 2019, 2020,
[108]
and you would expect the same income
[109]
or more for 2021.

Or, the second way, number two,
[115]
is to have a net worth over $1 million
[117]
as a single or a couple,
[119]
but this is excluding the value
[121]
of your primary residence,
[123]
so you can not include
the value of your home.

Or number three, you can hold
[128]
one of the following securities license,
[130]
a Series 7, which
basically establishes you
[135]
as a holder, as a financial professional,
[136]
to be able to sell securities,
[138]
a Series 65 is a professional license
[141]
that allows you to give investment advice,
[144]
or a Series 82,
[146]
which essentially would measure
[148]
whether or not you have enough knowledge
[150]
to solicit and/or sale
[152]
private placement security products
[154]
as a part of a primary offering.
[158]
Or number four, you can
qualify with an entity.
[162]
So the business entity or trust
[165]
must have a total assets
of $5 million or more,
[170]
and can not have been specifically formed
[172]
with the purpose of
buying said securities,
[176]
or all of the equity owners of said entity
[179]
must already be accredited investors.

Now, once you qualify as
an accredited investor,
[186]
you're ready to invest,
[187]
you'll be asked to have to verify
[190]
your status as an accredited investor.

And as a potential investor,
[196]
be prepared to have to respond
[198]
to various questionnaires
[200]
and submit a lot of financial documents
[202]
in order to sustain
[204]
and verify your qualification.
[207]
You will be asked for things such as
[209]
account information, financial statements,
[211]
maybe tax returns, or W2s, credit reports.
[214]
Also, letters of review
[217]
from either your CPA or tax attorney.
[222]
Some syndications will allow you
[224]
to complete verification online
[225]
through various online
verification services,
[228]
such as verifyinvestor.com.

of rule 506(b) of Reg
D states that companies

can raise an unlimited amount of money

of accredited investors,

but there can be no general solicitation
[279]
or advertising to market the securities.

So in other words, they
must be personally known.

So what better way to ensure that

you're personally known
[290]
than to attend one of the live

and in-person events to
get to know the team.

So in summary,

the four ways in which you can gain

your accredited investor status are

by number one,
[302]
meeting the earned income requirement
[304]
of $200,000 as a single
[306]
or $300,000 as a couple

in each of the two years prior,

and expect the same for the current year.

Or, number two,
[314]
meeting the net worth requirement
[316]
of having a net worth of over $1 million,
[319]
not including your primary residence.

Or, number three,

having one of the various
[324]
financial securities professional licenses
[327]
in good standing.

Or, number four,

by owning a qualifying entity
[333]
that has total assets
in excess of 5 million

or all the equity owners

are accredited investors.
