as it evaluates a takeover bid from

billionaire Elon Musk on Sunday Jack

Dorsey responded to a Twitter user

describing the quote plots and coups

that played out in the early history of

Twitter's board by saying quote it has

consistently been the dysfunction of the

company Dorsey is still a member of the

board but plans to leave once his term

expires in May musk tweeted Saturday the

Twitter board quote collectively owns

almost no shares with Dorsey departing

he also said the board's economic
[45]
interests do not align with those of
[48]
shareholders the Tesla and SpaceX CEO
[52]
offered Dubai Twitter for 43 billion

Musk Twitter board Saga we know that the

board employed something that's known as

a poison pill right explain what that
[73]
means and why that at the very least is

you know holding things off for a little

another twist in this Saga so this

poison pill as described is really just
[84]
a dilution of stock or a proposed
[86]
dilution of stock so the way it would
[88]
work is uh the board would say if any
[91]
one shareholder met a 15 threshold then
[95]
they would approve other shareholders to
[97]
buy Twitter stock at a reduced price
[99]
this would effectively dilute Twitter
[102]
stock and it would reduce the amount
[104]
that the person who was trying to
[105]
hostily take over the company uh owned
[108]
it would reduce their percentage of
[110]
owners but do we know if there are any
[112]
other serious suitors out there well uh
[115]
no one as overt as Elon Musk but we do
[118]
know that one of the options one of the
[120]
things that Twitter has been looking

into are potential either co-fundors

other companies to come in and fund
[128]
Twitter or just take them over to fund

the company themselves it's all very
[134]
complicated it's almost like an episode

of Game of Thrones right but I want to

ask you about dorsey's expected
[140]
departure from the board in May how is
[142]
that expected to affect what the board
[144]
does and what musk does well look he
[147]
won't have as direct of an influence as
[149]
he does now or did in the past but we
[152]
know that Dorsey and musk are kind of
[154]
Frenemies and that he has indirect
[156]
influence over Twitter uh not just the
[159]
the board and not just the company but
[161]
the entire culture of Twitter's
[163]
management uh Dorsey plays a bit pretty
[165]
big role right okay so we know that Elon
[167]
Musk has threatened to take his offer
[169]
straight to the shareholders right over
[171]
the head of the board and go straight to
[173]
the shareholders can he do that number
[175]
one and number two if the shareholders
[177]
say hey yeah actually you know I want a

big payout now let's go with this is the

board powerless to stop that from
[183]
happening no the board is not powerless
[185]
but look uh Elon can say he wants to do
[189]
this but he's not as liquid as he
[191]
pretends to be in fact over the weekend

I spoke to a couple people who said that
[195]
he would have to sell about five percent
[196]
of Tesla in order to get the cash he
[199]
needs that would be a pretty big
[200]
sacrifice on his end uh he could partner
[203]
with some other uh Capital firms to fund
[206]
this but it's not as direct as he makes
[208]
it out to be Twitter has a bunch of
[211]
options look they could negotiate with
[212]
him they could open their books and say
[214]
hey let's find a better price they could
[216]
dilute it like we talked about earlier
[218]
and they could simply find other funding
[220]
partners and and just change the the
[223]
finances it's interesting that point
[225]
about him not being as liquid as he
[226]
wants everybody to believe so of course
[228]
sounds like a game of of Poker or
[230]
something right like who's bluffing here

right when's everyone going to show

their cards well that's definitely the
[235]
game that uh Elon plays uh nothing he
[238]
does is direct and we should take
[240]
everything he does and says even this
[242]
takeover or potential takeover of
[244]
Twitter with a grain of salt that
