anti-trust war against facebook

it all started in june of 2019

that's when the ftc that's the u.s
[17]
federal trade commission
[18]
told facebook that it was going to start
[21]
investigating facebook
[22]
for creation of a monopoly and violation
[26]
of antitrust laws as a side note the ftc
[29]
is a u.s governmental agency whose job
[31]
is to stop unfair fraudulent and
[34]
deceptive
[35]
business practices in america so what it
[37]
does
[38]
is it conducts investigations of both
[40]
foreign and domestic companies
[42]
it sues companies and it punishes
[45]
companies
[45]
if they violate ftc or anti-trust rules
[49]
as a part of its investigation the fdc
[51]
requested and reviewed millions and
[53]
millions of pages of documents from
[54]
facebook they also
[56]
interviewed past employees and current
[59]
employees
[59]
they actually interviewed mark
[61]
zuckerberg in august of 2020.

what information was the ftc looking for
[66]
in their investigation
[67]
of facebook well in short any evidence
[70]
that facebook violated the sherman
[72]
antitrust act and to be more exact
[74]
any evidence that facebook violated the
[77]
ftc act
[78]
and possibly the clayton anti-trust act

we're not going to go into detail on
[82]
those other acts i just wanted to let
[83]
you know that those are applicable to
[85]
this discussion
[86]
too so back to the sherman anti-trust
[88]
laws definition
[89]
what is this act it's a law that was
[92]
passed i think back in 1890 or so
[94]
and basically it's designed to protect
[97]
consumers
[98]
from unfair competition among
[100]
corporations
[101]
what did the sherman anti-trust act do
[104]
the law made sure
[105]
that there were strong incentives for
[107]
companies that are doing business in
[109]
america to
[110]
operate efficiently to make good product
[113]
and to compete fairly in the marketplace
[115]
what does the anti-trust law require
[117]
companies to do
[118]
it's going to sound kind of funny but
[120]
basically all these big kind of scary
[122]
sounding laws
[123]
all they require companies to do is to
[126]
act
[126]
reasonably and to protect consumers so
[130]
one thing that companies cannot do and
[132]
which will violate
[133]
anti-trust laws is they cannot
[136]
collaborate with their competitors
[138]
to rig the market so an example might be
[141]
let's say a couple of
[142]
camera manufacturers like you know sony
[145]
and canon and
[146]
nikon and maybe all the others they get
[148]
together and they say
[150]
the minimum price in america for a
[152]
camera is going to be 5
[154]
000 it doesn't matter whether or not it
[156]
cost a hundred dollars to make the
[158]
camera
[159]
the minimum price in america is gonna be
[161]
five thousand dollars
[162]
that's where they collaborate to rig the
[164]
market
[165]
and to deprive consumers of the benefits
[168]
of saving costs and being efficient the
[171]
second thing which is
[172]
unreasonable under antitrust laws is to
[175]
do what i call
[176]
bad vertical integration or bad
[179]
horizontal
[180]
integration now vertical integration is
[182]
really simple it's when one
[184]
company buys another company that's
[186]
earlier or later
[187]
in the supply chain so a good example
[189]
might be mcdonald's
[191]
they may decide to buy a cow farm which
[194]
is earlier in the supply chain
[196]
they may do this to be more efficient so
[198]
it costs less to create burgers and they
[200]
can charge less for their burgers
[202]
horizontal integration is when one
[204]
company buys another company and they
[206]
have similar functions
[207]
so a good example of that might be
[209]
facebook when they bought instagram
[211]
they're both social media sites that
[213]
allow users to make
[215]
posts on their websites for people to
[218]
view
[218]
so when facebook bought instagram that's
[221]
a good example of
[222]
horizontal integration vertical
[224]
integration or
[225]
horizontal integration by itself is not
[227]
a bad thing it happens all the time
[229]
it only becomes bad and therefore
[232]
violates the sherman
[233]
antitrust law if it destroys
[236]
competition or prevents other companies
[239]
from emerging
[240]
in the marketplace the last type of
[242]
unreasonable conduct that violates
[244]
antitrust legislation

is an unreasonable monopoly what is a
[249]
monopoly
[250]
that's when a company controls the
[253]
entire
[254]
market for a good or service in a given
[257]
geographic location
[259]
so a good example from the past of this
[261]
is u.s steel
[262]
back in the late 1800s and the early
[264]
1900s
[266]
u.s steel was the only place that people
[268]
could get steel
[269]
for construction if you wanted to have
[272]
steel to build a skyscraper or something
[274]
you had to go to u.s steel there were no
[277]
other options
[278]
so that's an example of a monopoly that
[281]
monopoly becomes
[282]
a violation of antitrust laws when the
[284]
actions that the company that has a
[286]
monopoly took
[287]
are unreasonable they're unfair they're
[290]
fraudulent they're deceptive
[291]
okay that's probably enough law for now

now you know what antitrust law is the
[297]
question that i'm really here to answer
[299]
is
[299]
why is the ftc investigating facebook
[303]
for antitrust violations
[305]
and the answer is because in the next
[308]
couple of days or maybe next week it is
[310]
anticipated
[311]
that the ftc and other state agencies
[315]
may sue facebook for violation of the
[318]
sherman antitrust act
[319]
i anticipate that the ftc and
[322]
potentially the state attorneys general
[324]
from around the country
[325]
are going to bring a lawsuit that says
[328]
that facebook violated antitrust laws
[330]
based upon what i call bad horizontal
[333]
integration
[334]
because they purchased instagram and
[337]
whatsapp and they in turn
[339]
stifled the competition in the social
[341]
media platforms marketplace
[343]
i also think that the ftc is going to
[345]
argue that when facebook
[347]
bought instagram and whatsapp that was a
[350]
horizontal merger
[351]
that reduced the choices for us
[354]
consumers when we're deciding what types
[356]
of messenger apps we're going to use
[358]
and the final thing that i believe that
[360]
the ftc will allege and maybe the
[362]
state's attorney general
[363]
is that facebook's use of our consumer
[366]
private information to be able to sell
[368]
to us
[369]
was fraudulent and unfair now facebook's
[372]
response we haven't received one yet i'm
[374]
sure we will
[375]
if and when a lawsuit is filed by the
[378]
ftc
[380]
in the past mark zuckerberg has said
[383]
there was no
[384]
anti-trust violations by facebook partly
[387]
because
[388]
he says there is so much competition
[390]
among social media platforms he said
[393]
snapchat and tiktok have a lot of the
[395]
similar functions as instagram and
[397]
facebook and potentially whatsapp
[399]
and therefore they are invading
[401]
facebook's market
[402]
they are competing and if there are if
[404]
there is competition in the social media
[406]
space
[407]
then that is not indicative of an
[409]
anti-trust violation

he also said there's no way that
[413]
facebook has a monopoly on
[415]
messaging apps there is qq and wechat
[418]
and telegram
[419]
apple messages there are dozens if not
[422]
hundreds of different messaging apps
[424]
facebook definitely does not have
[426]
monopoly that is what mark zuckerberg
[428]
says

and mark defended facebook's collection
[430]
of personal information by saying listen

we did it yes but it was with your
[434]
consent
[435]
everything that we took from you we
[438]
disclosed
[438]
how we were going to use it and we told
[440]
you what the ramifications were of it so

yes we took your personal information
[445]
but we did it with your permission
[448]
so what's going to happen with this ftc
[449]
lawsuit against facebook

you know i don't know for sure but i do
[453]
think that the weakest point
[454]
facebook has sits with the horizontal
[458]
integration argument
[460]
i think it's a little weird that
[461]
facebook was allowed to purchase
[463]
instagram and whatsapp i mean that is a
[466]
huge space
[467]
in the internet social media marketplace
[470]
it reminds me of like if coca-cola
[472]
bought pepsi
[473]
sure if they had a merged corporation
[476]
they wouldn't control
[477]
all the soda pop market however they
[480]
probably would
[481]
control 80 percent of it so i do think
[484]
that's the weakness that facebook has in
[485]
this potential lawsuit that should be
[487]
filed in the next week or so

but i really want to know what do you

i think the key takeaways from this

business or your brand and you get more

and more famous

there's always going to be people out

there and in this case the government

to try to take you down the second thing

i think of is the government

power remember as you become more and

more successful in your life

always remember that there's the

government check

on your success what that means is is

that

you know some people think they start a

business it starts growing they're doing

great they're doing great
[534]
but we remember from this last 10 month
[536]
period or so

that the government at any time can shut
[540]
us down
[540]
so as a result we have to be diverse in

our business interests

we can't just focus on one business and
[546]
then go for
[547]
five or ten years only to be shut down
[550]
entirely

and the final takeaway that i got is

don't be greedy
[555]
when facebook bought instagram and
[557]
whatsapp
[558]
you know it sounds greedy to me it
[560]
sounds like it's too much if facebook
[562]
had just continued in their lane
[564]
doing social media posts and advertising
[567]
and messaging
[568]
maybe they wouldn't have drew the ire of
[570]
the government
[571]
and the public maybe they just bit off
[573]
more than they can chew and it's a
[575]
lesson for us

when we're running our businesses it's
[578]
so great to grow
[579]
and to expand potentially to merge with
[582]
other businesses
[583]
but we have to be careful about how big
[585]
we get
[586]
because the bigger we get the easier it
[588]
is for other
[590]
external forces like the government to
[592]
take us down
