[31]
We handle a wide range of business litigation including shareholder agreements and the resolution
[39]
of shareholder disputes.
[40]
Today, I’m going to talk about inspection rights of a company shareholder.
[48]
What inspection rights do you have and how do you request a review information as a shareholder?
[57]
In Florida, shareholders have the right to inspect their company’s financial records
[63]
and the books of their company.
[65]
Before, or in conjunction with filing a lawsuit, a shareholder can demand inspection of:
[70]
• Bonus and salary payments to personnel • A disclosure of lawsuits filed against
[75]
the corporation • Accounting records
[76]
• Corporation bylaws • Corporation records and books
[77]
• Records of actions that were taken without a meeting
[81]
• Vendor payments • Shareholders records
[83]
• Business addresses and names of the corporation’s directors and officers
[88]
• Minutes of meetings for: o Shareholders
[92]
o The board of directors, and, any committees.
[96]
So, how do you exercise these rights as a shareholder?
[99]
Shareholder agreements and Florida Statutes control how you request this information.
[107]
In order for a shareholder to make a demand on the corporation for inspection of the books
[122]
and records, it should be in good faith and for a proper purpose -- one that’s intended
[138]
to protect the shareholder’s interests, that is not contrary to the interest of the
[148]
corporation, and is lawful.
[152]
If a party has violated the terms of a shareholder agreement, and you have sustained financial
[166]
losses because of this violation of terms, you should not pursue actions without experienced
[176]
legal representation.
[177]
Resolving shareholder disputes can include negotiation, litigation, arbitration, or mediation.
[182]
These often involve complex issues, and a shareholder should begin this process without
[209]
an attorney who works in this area.
[218]
Again, I’m Reed Bloodworth, the managing partner of Bloodworth Law.
